It is not a comment on whether the company has traded or made a profit — it simply reflects that a filing that should have been made remains outstanding. The deadline itself depends on the company's accounting reference period and its individual circumstances, so it is worth checking the company's filing history on the Companies House record rather than assuming a date.

There are many reasons. Records may not have been kept up to date, a director may have been unwell or unusually busy, the company may have changed accountant part-way through a period, or there may have been uncertainty about whether the company needed to file at all. In some cases a director assumes that because the company was dormant or not trading there was nothing to file, when in fact the filing obligation can still apply. Whatever the cause, the position can usually be reviewed and sorted out.

Yes. In most cases the requirement to prepare and deliver the outstanding accounts to Companies House remains, even though the deadline has passed. Submitting them late does not undo the fact that they were late, and it does not automatically cancel any late-filing penalty that may have been incurred, but it does bring the outstanding filing up to date.
