FRS 105 is the UK financial reporting standard that applies to companies using the micro-entities regime. It is a simplified framework derived from FRS 102, designed to reduce the accounting options and disclosure requirements for the very smallest companies. If a qualifying company chooses the micro-entities regime, FRS 105 is the standard used to prepare its financial statements.
FRS 105 is intended for companies that qualify as micro-entities under the applicable size criteria and that choose to apply the micro-entities regime. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Other rules and exclusions can apply, so meeting the size conditions does not by itself guarantee that the regime is available.
No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that qualifies as a micro-entity can choose to apply it, or it may use another framework such as FRS 102, including the small entities provisions where those are relevant. The choice is a decision for the company, and it is worth considering how much disclosure you want the accounts to include.
FRS 102 is the broader UK financial reporting standard and offers more accounting policy choices and a greater level of disclosure. FRS 105 is a much more streamlined standard for micro-entities: it permits fewer measurement options and requires far fewer notes to the accounts. In practice, choosing between them is about matching the reporting framework to the size and complexity of your company and the level of detail you want in the published financial statements.
Most companies are required to file annual accounts at Companies House, and micro-entity accounts prepared under FRS 105 are filed in that way. Micro-entity accounts are typically presented in a simplified form, with a balance sheet and a limited set of notes. Filing the accounts is a separate exercise from dealing with Corporation Tax, and the directors remain responsible for ensuring the accounts are prepared properly and filed on time.
Yes. FRS 105 Micro Entity Accounts are financial statements prepared under the micro-entities regime, while a CT600 is a Corporation Tax Return submitted to HMRC. Although the figures in your accounts will usually feed into the tax return, they are separate documents with separate purposes and separate submission routes. Preparing the accounts does not itself discharge your Corporation Tax obligations.
It may be able to, if it qualifies as a micro-entity and chooses the regime. A newly incorporated company still has to consider the eligibility conditions in relation to its own figures and circumstances, and there are rules and exclusions that can affect whether the micro-entities regime is available. Eligibility is not automatic simply because a company is new or small, so the position should be reviewed for each company.
