What Are First Year Accounts for a Micro Company, and Does Every New Company Qualify?

First year accounts are the first set of annual statutory accounts a limited company prepares after incorporation. They cover the company’s initial accounting period, which normally begins on the date of incorporation and ends on its first accounting reference date. The exact period depends on the incorporation date and the accounting reference date recorded at Companies House, so it is worth confirming rather than assuming, and a first period is not always the same length as the twelve months used in later years. What the accounts contain depends on the reporting framework that applies to the company. Typically they include a balance sheet, a profit and loss account where the framework requires one, notes to the accounts and the directors’ statement of responsibilities. A company that meets the eligibility conditions for the micro-entity regime for the relevant accounting period may be able to report under the micro-entity framework and FRS 105, the financial reporting standard applicable to qualifying entities using that framework. Other companies may report as small companies or under a fuller framework. Eligibility is assessed against the rules for that period and is not automatic simply because a company has recently been incorporated or has modest activity, so it is best reviewed case by case. Once prepared, first year accounts are generally filed with Companies House where required. That filing is separate from a Corporation Tax Return: a CT600 is submitted to HMRC, and the two have different purposes, destinations and timescales, even though they draw on the same underlying records. A confirmation statement is separate again, updating Companies House on the company’s officers, shareholders and registered details. Directors remain responsible for ensuring the company meets its statutory obligations, and professional support is there to help prepare, review and file the required information rather than to transfer that responsibility away.

The period normally starts on the date of incorporation and ends on the company's first accounting reference date, although the exact dates depend on how the company was set up. The accounts are built from the company's accounting records and are generally filed with Companies House where required. What they include depends on the reporting framework the company uses, and they sit alongside the company's other obligations rather than replacing any of them.

There is no single date that applies to every company in London or anywhere else. The deadline is calculated from the company's accounting reference date rather than its incorporation date, and first accounts are sometimes given a different filing window from later years. Because the accounting reference date is usually linked to the month of incorporation, two companies incorporated in different months will not share the same deadline. We confirm the relevant date for your company and plan the preparation work around it.

It depends on what the company has done during the period, but directors of newly incorporated companies are commonly asked for bank statements and transaction listings, sales invoices and income records, purchase invoices and expense receipts, details of any assets bought or sold, share capital and share issue information, director loan account movements, loans or finance agreements, and payroll or VAT records where these apply. Incorporation documents and details of the accounting reference date are also useful. If some records are missing, the position can usually still be worked through, but the accounts can only be as accurate as the information behind them.

Statutory filing obligations can still apply to a company that has had little or no trading activity, so it is not safe to assume nothing needs to be done. Whether the company files full accounts, simpler accounts or dormant accounts depends on its actual circumstances and the applicable rules for that period, including whether any accounting transactions took place. Being dormant for Companies House purposes is not automatically the same as being dormant for tax purposes. It is worth checking your position rather than letting a filing date pass unnoticed.

No. First-year statutory accounts are prepared for the members and, where required, delivered to Companies House. A Corporation Tax Return, such as a CT600, is submitted to HMRC where the company has a Corporation Tax obligation. The figures in the accounts often inform the tax return, but the two serve different purposes, go to different bodies and have their own requirements. Filing the accounts does not complete the company's Corporation Tax position, and the company's first Corporation Tax accounting period may not match its statutory accounts period.

It may do, but eligibility is not automatic and cannot be assumed just because a company is new or small. Qualification is assessed against the conditions set for the relevant accounting period, and a company's position can change from one period to the next. Where a company qualifies and the micro-entity framework is appropriate, FRS 105 is the standard that applies, and the accounts can be prepared on that basis. If it does not qualify, a different framework will apply and the accounts will need to reflect that.

No, they are separate filings with different purposes. The accounts report the company's financial position and performance for the period, while the confirmation statement confirms that the information Companies House holds about the company, such as its officers, shareholders and registered office, is up to date. Preparing and filing the accounts does not satisfy the confirmation statement requirement, and the company still needs to keep its Companies House record accurate and file its confirmation statement when it falls due.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, and the amount or type of consequence depends on how late the accounts are and other circumstances, so it is not the same in every case. Paying any penalty does not remove the requirement to file the outstanding accounts. In some situations an appeal may be possible, depending on the reasons for the delay and the applicable rules. If your first-year accounts are overdue, the priority is usually to get accurate accounts finalised and filed as soon as the records allow.
