I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Your Company Accounts Are Overdue

Company accounts are considered overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not yet been delivered to Companies House. The deadline itself is not identical for every company — it depends on factors such as the company’s accounting reference period, whether it is a first set of accounts, and the company’s individual circumstances, so it is always worth checking the specific date that applies to your filing. Once that date has passed, the accounts remain outstanding until they are properly prepared and delivered, and the obligation does not disappear because the company is quiet, has not traded during the period, or has no current income. For directors in Thornton Cleveleys dealing with this situation, the sensible approach is usually to establish exactly which periods are outstanding, gather the records needed for each one, and then prepare and file the accounts in the correct reporting framework — which might be micro-entity accounts, small-company accounts or another applicable form of statutory accounts, depending on the company’s size, structure and eligibility. Companies House may apply late-filing penalties where accounts are delivered after the applicable deadline, and the longer a set of accounts remains outstanding the more serious the consequences may become, although the outcome always depends on the circumstances of the company and the filings concerned. Each outstanding accounting period generally needs to be addressed in its own right, and other compliance matters such as confirmation statements, Corporation Tax Returns and HMRC correspondence may need to be dealt with separately.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Overdue company accounts are statutory accounts for an accounting period that should already have been delivered to Companies House but have not yet been filed. The accounts become overdue once the applicable filing deadline passes, and they remain outstanding until they are prepared and delivered. The deadline varies between companies, so it is important to check the specific date that applies to your accounting reference period rather than assuming a standard date.

There are many reasons a company's accounts can fall behind — a change of accountant, incomplete bookkeeping records, an extended period of inactivity, or simply the deadline passing during a busy trading period. Whatever the cause, the position is usually manageable: the accounts still need to be prepared and filed, and the first step is to confirm which accounting periods remain outstanding and what records are available for each of them.

In most cases, yes, although the exact requirement depends on the company's circumstances. A company that has not traded, or that has been dormant, can still have annual accounts filing obligations with Companies House, and dormancy and overdue filing are two separate matters. A dormant company can have overdue accounts simply because the required accounts were not delivered by the applicable deadline. We can review your company's position and confirm what is actually required.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the amount can depend on how overdue the filing is. The requirement to file the outstanding accounts and any penalty that may apply are separate matters — dealing with one does not remove the other. If you believe a penalty should not apply, any appeal depends on the circumstances and the relevant Companies House rules, and eligibility is not guaranteed.

No. Paying a penalty does not remove or cancel the obligation to prepare and deliver the accounts. The accounts remain outstanding until they are properly filed, so the penalty and the filing obligation need to be handled as two distinct issues. We can help you prepare the accounts and set out the outstanding filing position clearly so you know what still needs to be done.

Often they can be worked through together, but each outstanding period generally needs its own set of accounts prepared and delivered. Filing one period does not automatically resolve the others, and the records required can differ from year to year. Where a number of periods are behind, we usually review them as a group, agree an order of work and prepare each set of accounts in turn so nothing is overlooked.

Yes. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and a confirmation statement is a separate filing made to Companies House. Submitting overdue accounts to Companies House does not automatically satisfy HMRC Corporation Tax obligations, and it does not replace a confirmation statement. Where more than one type of filing is outstanding, we can help you identify what is due and how each matter should be approached.

It depends on the company and the accounting period being prepared, so the list is not the same for everyone. Typically we ask for bookkeeping records, bank statements, sales and expense information, details of any assets or liabilities, previous accounts where they exist, and your company details. If records are incomplete, we can discuss practical ways to reconstruct the position. We will also confirm whether the company may qualify for micro-entity accounts or another reporting framework before preparation begins.
