I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Limited Company Accounts Are Overdue

A company’s annual accounts have to be delivered to Companies House by the statutory deadline that applies to its accounting reference period. Once that date has passed and the required accounts have not been delivered, those accounts are overdue. Crucially, overdue status is about what has or has not been filed rather than whether the company was busy — a dormant company with an unfiled period can be just as overdue as an actively trading one, and dormancy on its own does not remove the filing obligation. Filing dates are not identical for every company, so the relevant deadline depends on the company’s accounting reference date, whether it is a first set of accounts, and other circumstances. Leaving overdue accounts unresolved is rarely a neutral choice: Companies House can apply late-filing penalties once accounts are delivered after the deadline, and persistent non-compliance can increase the risk of further action against the company. The practical response for a director in Thames Ditton is usually to establish exactly which periods remain outstanding, prepare the statutory accounts for each of them, have them reviewed and authorised, and then deliver them where required — bearing in mind that confirmation statements, Corporation Tax returns and other filings may need to be dealt with separately.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Accounts become overdue when the statutory filing deadline for that accounting period has passed and the required accounts have not yet been delivered to Companies House. It is a factual position based on the filing date and what has been received, not a judgement about how the company has been trading. An overdue filing does not by itself mean the company has been suspended or removed from the register, but it does mean an outstanding filing obligation remains.

The reasons vary considerably. Some directors assume that a quiet year, a dormant period or a lack of trading means there is nothing to file, while others have lost track of the accounting reference date or changed accountants part-way through a period. In other cases bookkeeping records are incomplete, so the accounts are never finalised. Whatever the cause, the deadline still applies, and the position is best reviewed period by period before anything is submitted.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts for a period were not delivered by the applicable deadline, that period is overdue. Being dormant does not automatically exempt a company from filing annual accounts, although the type of accounts required may differ from those of a trading company. Subject to the relevant requirements, the outstanding period still needs to be addressed.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. The penalty that may apply depends on the circumstances and how late the filing is, and it is not the same for every company or every period. Filing the accounts does not automatically cancel or reduce any penalty that has been applied, and the underlying requirement to file outstanding accounts remains regardless.

Yes. The penalty and the filing obligation are separate matters. Paying a penalty does not satisfy the requirement to prepare and deliver the outstanding accounts, and it does not remove any further obligations the company may have. The accounts still need to be prepared, reviewed and authorised by the director, and delivered to Companies House where required.

Where a company has several outstanding periods, each one may need to be prepared and filed separately, as each covers its own accounting period and reporting framework. Filing a single set of accounts does not automatically resolve the others. We can review the company's filing history with you, set out which periods remain outstanding, and work through them in a logical order. The information needed will depend on the periods involved and the records available.

They are separate compliance matters with different recipients. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy any outstanding Corporation Tax obligations, so a company with both types of filing outstanding will usually need to address them individually. We can advise on the position in your circumstances.

We support company directors in Thames Ditton and the surrounding area who need to bring outstanding accounts up to date. That typically involves reviewing the company's filing position, confirming which periods are overdue, preparing the statutory accounts on the appropriate basis for that company — which may be micro-entity accounts where it qualifies, or another applicable reporting framework — and assisting with delivery to Companies House once you have reviewed and authorised the figures. We will also flag any related matters, such as confirmation statements, so nothing is overlooked.
