I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Are and Why They Need Attention

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is linked to the company’s accounting reference period and its own circumstances rather than one single date that applies to every company. When that deadline passes and the required accounts have not been delivered, the accounts become overdue. Being overdue simply means a filing deadline has been missed, not that a company’s status has been suspended or removed from the register — but it does mean an outstanding filing obligation remains in place and normally needs to be resolved. Directors in Strathaven often find that accounts have slipped for understandable reasons: a change of accountant, incomplete bookkeeping records, a quiet or dormant trading period, illness, or simply losing track of the filing date. Whatever the cause, outstanding statutory accounts do not disappear on their own, and the longer they remain unfiled, the more likely it is that Companies House may take action and that late-filing penalties may apply. Preparing the accounts usually involves bringing together bookkeeping records, bank statements, invoices, expense records, company details and any previously filed accounts so the relevant accounting period can be prepared and reviewed before delivery. Each company’s position is different — the form of accounts required depends on its size, legal structure, reporting framework and the period concerned. Some companies may qualify to prepare micro-entity accounts, while others will need small-company or full statutory accounts, and where more than one accounting period is outstanding, each period generally has to be prepared and filed separately. It is also worth remembering that Companies House accounts filing, confirmation statements and Corporation Tax obligations such as CT600 returns to HMRC are separate compliance matters, and dealing with one does not automatically resolve the others.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not been delivered to Companies House. The deadline depends on the company's accounting reference period and its individual circumstances, so it is not the same date for every company. An overdue filing does not mean the company's status has been suspended or removed from the register — it means an outstanding filing obligation remains, and late-filing penalties may apply depending on the circumstances.

Yes. The filing obligation does not expire because a deadline has been missed. Where statutory accounts are required to be delivered to Companies House, they still need to be prepared and filed, even if the company has been quiet, has not traded, or has no current income. Leaving the position unresolved may mean further correspondence and, in persistent cases, additional action from Companies House.

There is rarely a single reason. Common causes include a change of accountant, incomplete bookkeeping records, a dormant or inactive trading period, uncertainty about which accounting period applies, or a director dealing with illness or other pressures. Because the deadline is based on each company's own accounting reference period, it can be easy to misjudge. We can review your circumstances and confirm which periods remain outstanding.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts will be overdue regardless of whether the company traded. Dormant status does not automatically remove the requirement to file annual accounts, although the position can vary, so it is worth checking before assuming nothing is due.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The level of any penalty depends on the circumstances and how late the filing is, and penalties are calculated under Companies House rules rather than being the same for every company. Paying a penalty does not remove the requirement to file the outstanding accounts — the two are separate matters — and eligibility for an appeal against a penalty depends on the specific situation and the applicable rules.

Where several accounting periods are outstanding, each period generally needs to be prepared and filed separately, because the accounts for each period cover a different set of figures. That usually means gathering records for the full period of non-compliance, not just the most recent year. We cannot give a guaranteed completion timeframe, as it depends on the quality of the records and the number of periods involved, but we can set out the sequence of work clearly so you know what happens next.

Only where the company qualifies. Some companies with overdue accounts may be eligible to prepare micro-entity accounts under FRS 105, which is the financial reporting standard applying to entities that meet the micro-entity criteria, but this is not automatic. An overdue company may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts. Eligibility depends on the company's size, legal structure, accounting period and reporting framework, so it needs to be confirmed before preparation begins.

Yes. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable, and a confirmation statement is a separate filing made to Companies House. Submitting overdue accounts does not automatically satisfy any outstanding Corporation Tax obligations, and it does not replace a confirmation statement. Where a company has several compliance matters outstanding, we can review the position and help you understand what still needs to be dealt with separately.
