Company accounts generally have to be delivered to Companies House by the applicable statutory deadline. That deadline is not the same for every company — it depends on factors such as the company’s accounting reference period, whether it is a first set of accounts, and the company’s particular circumstances. Once the deadline passes and the required accounts have not been delivered, those accounts are overdue. Being overdue is a filing position, not a change in your company’s legal status, but it does mean an obligation remains unmet and Companies House may take action in line with its own rules. The longer accounts stay outstanding, the more the position can develop, so it is usually better to deal with the matter promptly rather than leave it in place. It is also worth being clear that overdue accounts and a free-standing penalty are treated as separate matters: paying a late-filing penalty does not remove the requirement to prepare and file the accounts themselves. Company accounts become overdue when the applicable filing deadline for a set of statutory accounts has passed and those accounts have not been delivered to Companies House. The deadline is not identical for every company — it depends on matters such as the accounting reference period and whether it is a first set of accounts. Overdue does not mean the company has automatically been struck off or suspended; it means a required filing remains outstanding.

In practice, the reasons are usually practical rather than deliberate. Directors may have moved address, changed accountant, been unwell, or simply lost track of the date. Some companies assume that because no trading took place there is nothing to file, which is not necessarily correct. Whatever the reason, the position is the same: if accounts were not delivered by the deadline, they remain outstanding until they are prepared and filed.

Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and it can have overdue accounts if the required accounts were not delivered by the applicable deadline. Where a company is dormant, the accounts and any supporting information required may differ from those of a trading company, but the filing position still needs to be addressed rather than assumed to be exempt.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the length of the delay is one of the factors that can affect the position. Penalty amounts are set out in the applicable rules rather than by us, and they can change over time, so we do not quote figures here. It is important to understand that a penalty is a separate matter from the filing itself — paying a penalty does not remove the requirement to prepare and file the outstanding accounts.

It may be possible to address several outstanding periods within one engagement, but each accounting period generally needs its own set of accounts prepared and delivered. Filing one period does not automatically resolve the others. The order in which periods are dealt with, and how long the work takes, depends on the state of your records and the number of periods involved, so we usually start by reviewing exactly what is outstanding.

In many cases accounts can still be prepared and delivered, but the situation needs to be looked at carefully. Persistent failure to meet filing obligations can increase the risk of compulsory strike-off action, and Companies House may take steps of its own. If a company has received a strike-off notice or has already been dissolved, the matter may require separate restoration or legal advice rather than being handled as an ordinary overdue accounts filing.

Some companies with overdue accounts may qualify for the micro-entity reporting framework and its associated financial reporting standard, FRS 105. However, not every company qualifies — eligibility depends on factors such as the company's size, legal structure, accounting period and the applicable requirements. A company may originally have been required to prepare micro-entity accounts, small-company accounts or another form of statutory accounts, so the appropriate framework should be confirmed before filing.

No. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. A confirmation statement is a separate document submitted to Companies House and is not the same as annual accounts. Bringing your accounts up to date does not automatically satisfy Corporation Tax obligations or confirmation statement requirements, so we check whether other filings also need attention.
