I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Company Accounts Are Overdue

Company accounts generally need to be delivered to Companies House by the applicable statutory filing deadline, which is normally set by reference to the company’s accounting reference period. When that date passes and the required accounts have not been delivered, the accounts become overdue — whether or not the company has been actively trading, has made a loss, or has been sitting quietly since incorporation. Company directors in Southsea, like directors elsewhere, remain responsible for making sure the required statutory accounts are prepared and filed, and the sooner outstanding accounts are brought up to date, the easier it usually is to deal with the records, the filing itself and any late-filing penalty that may apply. The exact position depends on the company’s circumstances: the length of the delay, the number of accounting periods involved, and whether the company is dormant, a micro-entity or a small company all affect what needs to be prepared and submitted. Where more than one period is outstanding, each set of accounts generally needs to be addressed separately, and filing overdue accounts with Companies House does not automatically resolve other obligations such as a confirmation statement or a Corporation Tax Return submitted to HMRC. If you are unsure whether your accounts are overdue or what is still outstanding, we can review the position and set out the next steps clearly.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

How late the accounts are Private company Public company
Up to 1 month late
£150
£300

£375
£750
3 to 6 months late
£750
£1,500
More than 6 months late
£1,500
£3,000

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Struggling With Overdue Company Accounts Filing? We Can Help You Bring Everything Up to Date

Receiving a reminder from Companies House — or simply realising that a filing date has slipped past — can be an uncomfortable moment, especially when you are not sure how far behind the accounts have fallen. Micro Entity Accounts works with company directors to review what is outstanding, prepare accounts for each affected accounting period and assist with Companies House filing where required. We will also tell you if separate matters, such as a confirmation statement or a Corporation Tax Return, still need attention. The first step is a straightforward conversation about where your company stands, so you can decide how to move forward with confidence.

It means the deadline for delivering the company's statutory accounts to Companies House has passed and the required accounts remain outstanding. Filing deadlines are generally based on the company's accounting reference period, so they differ from company to company and depend on the circumstances. Once that date has passed without the accounts being delivered, the accounts are treated as overdue — it does not matter whether the company has traded, made a profit or been dormant.

Yes. An overdue filing does not remove the requirement to prepare and deliver the accounts, and the Companies House record will continue to show them as outstanding until they are filed. The accounts still need to be prepared from the company's records and submitted in the required format, subject to the applicable requirements for that accounting period.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if its accounts were not delivered by the relevant deadline, they become overdue in much the same way as any other company's accounts. If your company has been dormant, we can review what was actually required for the period in question rather than assuming anything either way.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the penalty that may apply depends on factors such as how late the accounts are and the type of company involved. The penalty is a separate matter from the filing itself — paying a penalty does not remove the requirement to deliver the outstanding accounts, and any appeal depends on the circumstances and the applicable Companies House rules.

Where several periods are outstanding, each one generally needs its own set of accounts, prepared and filed separately. Filing one set does not automatically clear the others. The information needed for each period depends on the records available, so it usually helps to review the position period by period before any preparation begins.

Some companies may qualify for the micro-entity reporting framework, and where a company qualifies, micro-entity accounts prepared under FRS 105 may be the appropriate basis for the period concerned. Not every small company qualifies, however: eligibility depends on the company's legal structure, its accounting period, its size and the reporting framework available to it. We confirm the correct basis before any accounts are prepared.

Yes. Statutory accounts are delivered to Companies House where required, a CT600 Corporation Tax Return is submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing. Bringing overdue accounts up to date does not automatically resolve those obligations, so they may need to be dealt with separately. We can review what is outstanding alongside the accounts.

We work with limited companies and other eligible entities in Southsea and beyond that need to bring outstanding accounts up to date. Our accountants, who are fully qualified and regulated by ICAEW, ACCA and AAT, review your filing position, prepare accounts for each affected period and assist with Companies House filing. We explain what information we need, keep the process straightforward and use clear, fixed-fee pricing with no hidden costs. If you have received a reminder or a warning from Companies House, we can look at the position with you and set out the available options.
