I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Matters

Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not yet been delivered to Companies House. That deadline is not the same for every company — it depends on factors such as the company’s accounting reference period, its first accounting period, and whether any extension has been formally agreed. So the starting point is always to confirm what was actually due and when. Overdue Company Accounts Filing in South Yorkshire is something we deal with regularly, and the practical position is usually straightforward once the outstanding periods have been identified. Leaving accounts outstanding does not make the obligation disappear. Whether the company traded, made a loss, had no income, or was dormant, annual accounts may still have to be prepared and filed, and the longer a filing remains outstanding the more likely it is that further consequences arise. Companies House can take action against companies that persistently fail to meet their filing obligations, and its records will show the accounts as outstanding until they are delivered. There is also the matter of late-filing penalties, which Companies House may impose where accounts are filed after the deadline, and which are handled separately from the accounts themselves. Alongside the Companies House position, a director needs to think about other compliance matters that may be running in parallel — Corporation Tax Returns such as CT600 submitted to HMRC, confirmation statements delivered to Companies House, and the accuracy of the company’s registered details. These are distinct requirements, and resolving one does not automatically resolve the others. The form of accounts that applies also varies: a company may originally have been required to prepare micro-entity accounts, small-company accounts, or another applicable form of statutory accounts, and the appropriate reporting framework is determined by the company’s legal structure, size and circumstances rather than by assumption. Where more than one accounting period is outstanding, each period generally needs to be addressed separately. We can review your position, confirm which sets of accounts are due, and assist with preparing and filing them.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Accounts are overdue once the applicable statutory filing deadline has passed and the required accounts have not been delivered to Companies House. The relevant deadline varies between companies, so it depends on the company's accounting reference period and its individual circumstances. Being overdue is separate from whether the company traded or made a profit — it is about whether the required accounts were filed on time.

There are several common reasons: the filing deadline may have been overlooked, the company may have had a change of accountant or director, records may be incomplete, or the accounts may simply never have been prepared. In many cases the deadline was linked to an accounting reference date that the director was not tracking closely. We can review your company's position with Companies House and confirm which periods remain outstanding.

In most cases, yes. Dormancy and overdue filing are separate matters. A dormant company can still have annual accounts filing obligations, and dormancy does not automatically mean the accounts are exempt. There are limited circumstances in which a company may be able to file differently, and that depends on the applicable requirements and the company's specific position, so it is worth checking before assuming nothing is due.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. The penalty depends on the circumstances, including how late the filing is, and is not the same in every case. Paying a penalty does not remove the requirement to file the outstanding accounts — the filing obligation and the penalty are handled as separate matters.

We cannot promise that a penalty will be reduced, removed or cancelled. Appeals are possible in certain circumstances and eligibility depends on the applicable Companies House rules and the facts of the case. Where an appeal may be worth considering, we can review your circumstances and explain the grounds that might apply, but the outcome rests with Companies House.

Where a company has more than one outstanding accounting period, each period generally needs to be dealt with separately, which may mean preparing and filing several sets of accounts. Filing one set does not automatically clear the others. We can map out exactly which periods are outstanding and work through them in order, with the figures subject to your review and approval before anything is submitted.

Possibly, depending on the circumstances. Some companies may qualify for the micro-entity reporting framework and FRS 105, which is the financial reporting standard applicable to qualifying entities using that framework. Not every company qualifies, and a small company does not automatically fall within it. The company's legal structure, accounting period and eligibility need to be considered before the appropriate reporting framework is confirmed.

No, these are separate compliance matters. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable, and a confirmation statement is delivered to Companies House separately from the annual accounts. Submitting overdue accounts does not automatically satisfy HMRC obligations or replace a confirmation statement, so a company may need to address each of these items individually.
