I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Mean for Your Company

Company accounts generally have to be delivered to Companies House by the statutory filing deadline that applies to the company’s accounting reference period. Once that deadline has passed and the required accounts have not been delivered, those accounts are treated as overdue — even where the company has since stopped trading, has little activity or has received no income. The deadline is not identical for every company: it depends on factors such as the accounting reference date, whether these are a first set of accounts and the company’s particular circumstances. Leaving overdue accounts unaddressed rarely improves the position. Companies House records continue to show an outstanding filing, late-filing penalties may apply, and the longer accounts remain outstanding, the more likely it is that other compliance matters — such as confirmation statements or Corporation Tax Returns with HMRC — also need attention. Directors in Newham who find themselves in this situation are not unusual, and the most practical first step is usually to establish exactly which accounting periods are outstanding, gather the records needed and prepare the accounts. The appropriate reporting framework — micro-entity accounts prepared under FRS 105, small-company accounts or another applicable form of statutory accounts — depends on the company’s size, legal structure and accounting period, so eligibility should be considered rather than assumed. Where several periods are outstanding, each one may need to be prepared and filed separately.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the statutory filing deadline for an accounting period has passed and the required accounts have not been delivered to Companies House. The deadline depends on the company's accounting reference period and its individual circumstances, rather than being the same date for every company. Being overdue is a filing position — it does not, by itself, change the company's status on the register.

There are several common reasons: the deadline was overlooked, records were incomplete, the company was inactive for a period, or there was a change of accountant part-way through. Some directors also assume nothing needs filing because the company has not traded. Whatever the cause, the filing obligation still applies where the company remains on the register, so the accounts need to be prepared and delivered to Companies House as soon as reasonably practicable.

Yes, in most cases. Where a company is still on the register, the requirement to prepare and deliver statutory accounts for the relevant accounting period continues, even if the deadline has already passed. Filing the outstanding accounts does not automatically resolve everything else — the company may still need to deal separately with confirmation statements, Corporation Tax obligations, HMRC correspondence or other outstanding filings.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts are overdue. Dormant status does not remove the need to file, and it should not be assumed that no accounts were due.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the amount may vary depending on the circumstances and how late the filing is. The penalty and the filing requirement are separate matters: paying a penalty does not remove the obligation to prepare and deliver the outstanding accounts, and an accountant cannot automatically reduce, cancel or appeal a penalty — eligibility for appeal depends on the circumstances and the applicable Companies House rules.

Where several accounting periods are outstanding, each period generally needs to be addressed separately, which may mean preparing and filing more than one set of accounts. Filing one set does not automatically resolve the others. We can review your Companies House records to confirm which periods remain outstanding and set out what is needed for each.

Some companies may qualify to prepare micro-entity accounts under FRS 105, but not every company does — eligibility depends on the company's size, legal structure, accounting period and circumstances. Overdue accounts are not automatically micro-entity accounts simply because the business is small. The appropriate reporting framework should be confirmed before the accounts are prepared.

We review which periods are outstanding, prepare the accounts on the correct basis for your company, and support the filing of those documents with Companies House. We will explain what records are needed — such as bookkeeping information, bank statements, invoices, expense records, previous accounts and company details — and confirm everything with you before submission. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and pricing is transparent and fixed-fee for the work involved.
