I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Filing Means — and Why Acting Early Matters

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is normally worked out by reference to the company’s accounting reference date and the accounting period being reported on. When that deadline passes and the required accounts have not been delivered, those accounts become overdue. The filing obligation does not disappear at that point: the company remains responsible for preparing and delivering the outstanding accounts, and the position stays open on its Companies House record until it is dealt with. Directors of companies in New Malden who have missed a filing date sometimes assume the matter can simply wait until the following year, or that nothing can be done once the deadline has gone. In practice, outstanding statutory accounts are normally best brought up to date as soon as they reasonably can be, because the longer overdue company accounts filing is left unaddressed, the more the position can build up — and the consequences may become more significant depending on the circumstances. Requirements are not identical for every company. The filing deadline, the form of accounts required, and the effect of late delivery can all depend on factors such as the company’s accounting reference period, its size and reporting framework, whether it is dormant or trading, and whether earlier accounting periods are also outstanding. Late-filing penalties may apply where accounts are delivered after the applicable deadline, and penalty matters sit separately from the obligation to file. A dormant company, a company that has not traded, or one with no income in the period is not automatically excused from filing. A company may also need to deal separately with its confirmation statement, Corporation Tax Returns such as CT600 where applicable, and other information held at Companies House. Where several periods are outstanding, each set of accounts may need to be prepared and filed in its own right.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts are overdue when the applicable statutory filing deadline has passed and the required accounts have not been delivered to Companies House. It is worth being precise about what that does and does not mean: an overdue filing does not automatically suspend the company, remove it from the register or cancel its status. It simply means a filing that was due remains outstanding, and the directors remain responsible for preparing and delivering those accounts, along with any other filings that are due.

The reasons are usually practical rather than deliberate. A change of accountant, incomplete bookkeeping records, a long period of limited activity, a misunderstanding about the filing deadline, or an assumption that the accounts will be sorted out at the same time as the Corporation Tax Return are all common. Whatever the cause, the starting point is the same: establish exactly which accounting periods are outstanding, what each one requires, and then work through them in a sensible order.

Yes, where statutory accounts are required to be delivered, they remain due even once the deadline has passed. Delivering them late does not undo the missed deadline and may lead to a late-filing penalty, but the accounts still normally need to be prepared and filed. Exactly what has to be prepared depends on the company's circumstances, its accounting period and the reporting framework that applies to it.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations, and if the required accounts were not delivered by the applicable deadline, they can become overdue in exactly the same way. Dormancy does not by itself remove the requirement to file, although the form and content of the accounts a dormant company prepares may differ from those of a trading company.

A late-filing penalty may apply where accounts are delivered after the applicable deadline, and the penalty is not optional. The amount and the number of penalties depend on how late the filing is and on the company's filing history, so it is not possible to state a figure without knowing the circumstances. Paying a penalty does not remove the requirement to file the accounts — the obligation to file and the penalty are separate matters, and both usually need to be dealt with.

Where several periods are outstanding, each one may need to be addressed separately, which usually means preparing more than one set of accounts. It is normally sensible to start with the earliest outstanding period, because later accounts often depend on the figures and comparatives from the periods before them. We can review the position, confirm which periods remain outstanding and work through them in a logical order.

No. Statutory accounts are filed with Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable. Submitting overdue accounts to Companies House does not automatically satisfy any outstanding Corporation Tax obligations, and a confirmation statement is a further, separate filing that also needs to be kept up to date. Where a company has more than one overdue compliance matter, each one has to be considered on its own terms.

Micro Entity Accounts works with limited companies and other eligible entities, and we can assist with preparing overdue statutory accounts, reviewing what remains outstanding, and delivering the required documents to Companies House. Where a company qualifies for the micro-entity framework, the accounts may be prepared under FRS 105, subject to eligibility; otherwise another applicable framework will be used, and we will confirm the position with you before anything is submitted. To prepare the accounts we will normally need items such as bookkeeping records, bank statements, invoices, expense records, details of any previous accounts and the company's registration details, although exactly what is required depends on the period being prepared.
