I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

Overdue Accounts Explained: What It Means When the Filing Deadline Has Passed

Company accounts become overdue when the statutory filing deadline for an accounting period has passed and the required accounts have not been delivered to Companies House. That deadline is not identical for every company. It can depend on the accounting reference period, whether it has been changed, and the company’s own circumstances, so it is worth checking the due date recorded on the Companies House file rather than assuming a date applies to you. Once that date has passed, the outstanding accounts still need to be prepared and filed where required. Directors remain responsible for ensuring the company meets its filing obligations, and the longer accounts are left outstanding, the more complicated the position can become. Where accounts are delivered after the applicable deadline, Companies House may impose a late-filing penalty. That penalty and the filing itself are separate matters: paying a penalty does not remove the requirement to deliver the accounts. If several accounting periods are outstanding, each period generally needs its own set of accounts, prepared and filed on its own. Where a company also has outstanding confirmation statements or HMRC Corporation Tax matters, such as a CT600 Corporation Tax Return, those are separate compliance points rather than something an accounts filing resolves automatically. For directors of limited companies in Nether Poppleton who have fallen behind, the practical first step is a review of what is outstanding, followed by preparation of the statutory accounts needed to bring the Companies House record up to date.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

How late the accounts are Private company Public company
Up to 1 month late
£150
£300
1 to 3 months late
£375
£750
3 to 6 months late
£750
£1,500
More than 6 months late
£1,500
£3,000

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the filing deadline for a set of statutory accounts has passed and those accounts have not been delivered to Companies House. The deadline is not the same for every company, because it depends on the accounting reference period and the company's circumstances. What matters is whether the required accounts have actually been filed by the date that applies to your company, which can be checked against the Companies House record.

Yes, in most cases. Passing the deadline does not remove the obligation to prepare and deliver the accounts for the relevant accounting period where they are required. The filing will continue to show as outstanding on the Companies House record until it is dealt with. A late-filing penalty may also apply, and that is a separate matter from the filing obligation itself.

It can. Dormancy and overdue filing are separate issues. A dormant company generally still has Companies House filing obligations, so if the required annual accounts were not delivered by the applicable deadline, those accounts can be overdue even though the company was not trading. Whether a company meets the conditions for dormant status, and what it needs to file, depends on its circumstances, so it is worth confirming the position rather than assuming no filing is needed.

Where accounts are delivered after the applicable deadline, Companies House may impose a late-filing penalty, and the amount is determined by the circumstances of the individual filing rather than a single fixed figure. Filing late does not change the fact that the accounts were outstanding, and it does not prevent a penalty from being considered. Generally the sooner an overdue filing is brought up to date, the better the position tends to be.

Yes. Paying a penalty does not cancel the requirement to file the outstanding accounts. The penalty relates to the late delivery, while the filing obligation relates to the accounts themselves, so the two are dealt with separately. Even where a penalty has been paid, or an appeal has been made, the accounts still need to be prepared and delivered to Companies House where required. Whether an appeal is eligible depends on the circumstances and the applicable Companies House rules.

Several periods can be worked through as part of one engagement, but each accounting period generally needs its own set of accounts prepared and filed separately. Filing one period does not automatically clear the others from the Companies House record. We can review which periods are outstanding and confirm the order in which they should be addressed. Where a company also has outstanding confirmation statements or HMRC matters such as a CT600 Corporation Tax Return, those are separate compliance points: a confirmation statement goes to Companies House, while a CT600 is submitted to HMRC where applicable.

Unfiled accounts do not automatically suspend a company or remove it from the register. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been issued, or if the company has been dissolved, the situation is different and may need separate restoration steps or legal advice rather than a straightforward overdue accounts filing.

The records required depend on the accounting period and the company's circumstances. They commonly include bookkeeping records, bank statements, sales invoices, purchase and expense records for the period, company details, and any previous accounts or filings. Where several periods are outstanding, information may need to be gathered for each one. If the company qualifies for the micro-entity framework, the accounts may be prepared under FRS 105, but eligibility depends on the company's size, structure and accounting period, so this is confirmed before preparation begins.
