I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Is Worth Acting on It

Company accounts normally have to be delivered to Companies House by the applicable statutory deadline, and that deadline is not the same for every company. It can depend on factors such as the company’s accounting reference date, whether the period is a first accounting period, and the company’s own reporting circumstances. When that deadline passes and the required accounts have not been delivered, the accounts are overdue — the filing obligation is still outstanding, even if the company has been quiet, has never traded, or the director believed the accounts had already been submitted on their behalf. Directors across Midlothian often discover the problem when a reminder arrives from Companies House, when a lender or buyer asks for filed accounts, or when they come to prepare a later accounting period. It is worth dealing with overdue accounts promptly, because late-filing penalties may apply where accounts are delivered after the deadline, and the longer a filing remains outstanding, the more involved the position can become, particularly where Companies House has already raised the matter. The accounts also need to be prepared under the correct reporting framework for the company — which could be micro-entity accounts, small-company accounts or another applicable form of statutory accounts, depending on its size, accounting period and eligibility — and where more than one period is outstanding, each one may need to be addressed separately. Micro Entity Accounts can review what is outstanding and prepare the required accounts for delivery to Companies House, with the documents shared for your review and approval before anything is submitted.

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Need Help with Overdue Company Accounts Filing in Midlothian? We Can Review What Is Outstanding and Prepare the Accounts

Late or outstanding accounts often leave directors unsure what has actually been filed and what still needs doing, and that uncertainty tends to be more stressful than the filing itself. Micro Entity Accounts reviews your outstanding filing requirements, prepares the overdue accounts for the relevant accounting periods, and assists with delivery to Companies House so your statutory records can be brought back up to date. Where a confirmation statement or a Corporation Tax matter such as an outstanding CT600 return is also in play, we can look at those as separate compliance points. Speak to our team and we will set out the practical next steps for your company.

Company accounts are overdue when the applicable statutory filing deadline has passed and the required accounts have not been delivered to Companies House. That deadline depends on the company's circumstances, including its accounting reference date and whether the period is a first set of accounts, so it is not identical for every company. In practice, accounts often become late because directors assumed an accountant or agent had already filed them, because bookkeeping records were incomplete, because the company was dormant or not trading and filing was overlooked, or because of illness, staff changes or other disruption. Dormancy does not remove the filing obligation, so a company in Midlothian that has never traded can still have overdue accounts.

Yes, where the company is required to deliver statutory accounts, that obligation remains even after the deadline has passed. Filing late does not cancel the requirement, and the accounts generally still need to be prepared on the correct reporting basis, reviewed and approved by the directors, and delivered to Companies House. If a reminder or warning has been received, it is sensible to address the position rather than set it aside, since Companies House may take action against companies that repeatedly fail to meet their filing obligations. If a strike-off notice has been issued, or the company has already been dissolved, the position usually needs to be handled separately — possibly with restoration or legal advice — rather than treated as an ordinary late filing.

Yes. Dormancy and overdue filing are separate issues. A dormant company still has Companies House obligations, which may include filing annual accounts for the period, and if the applicable deadline passed without those accounts being delivered, they are overdue. A dormant company may also have a confirmation statement to submit, which is a separate requirement from the accounts. Whether accounts are needed for a particular dormant period, and what they should contain, depends on the company's circumstances and the applicable requirements, so we would review the individual position before advising.

Late delivery can have consequences beyond the filing itself. Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the penalty position depends on the circumstances and the relevant rules rather than being the same for every company. The longer the accounts remain outstanding, the more serious the position may become, and persistent non-compliance can increase the risk of further action by Companies House. Filing the outstanding accounts does not automatically cancel any penalty already applied, and any appeal against a penalty would depend on the specific circumstances and the applicable Companies House rules.

No. The penalty and the filing obligation are separate matters. Paying a late-filing penalty does not satisfy the requirement to prepare and deliver the outstanding accounts, and those accounts still need to be filed where required. Equally, submitting accounts to Companies House does not automatically resolve other compliance points. A company may also have separate Corporation Tax obligations to HMRC, such as an outstanding CT600 Corporation Tax Return, and a separate confirmation statement to file with Companies House. These are distinct requirements and may each need to be dealt with individually.

Where several periods have been missed, each outstanding accounting period may need to be addressed separately, which can mean preparing and filing more than one set of accounts. Filing one period does not automatically resolve the others. The order of preparation matters, because later periods usually build on the figures and position established in earlier ones. What is needed will depend on the records available for each period, whether the company was trading or dormant, and the accounting framework that applies. We can review the outstanding periods and set out a practical sequence for dealing with them.

Some companies qualify for the micro-entity reporting framework, in which case micro-entity accounts prepared under FRS 105 — the financial reporting standard applicable to qualifying entities using that framework — may be appropriate for the outstanding period. Qualification is not automatic and does not simply follow from a business being small; eligibility depends on the company's legal structure, accounting period and whether it meets the qualifying conditions. Other companies instead fall under small-company accounts or another applicable form of statutory accounts. Before any overdue filing is prepared, we check which framework applies so the accounts are prepared on the correct basis.

Micro Entity Accounts works with company directors in Midlothian who need to bring outstanding statutory accounts up to date. We begin by reviewing what has been filed and what remains outstanding at Companies House, then prepare the accounts for each relevant period on the basis that applies to the company. We also explain what information we need — typically bookkeeping records, bank statements, invoices, expense records, company details and any previous accounts — and the prepared accounts are shared with you for review and approval before submission. From there, we can assist with delivery to Companies House and, where relevant, discuss separate matters such as confirmation statements or Corporation Tax filings with HMRC.
