FRS 105 is the UK financial reporting standard for micro-entities. It is the most simplified statutory reporting framework available to qualifying companies, designed to reduce the amount of disclosure compared with larger-company standards. Accounts prepared under FRS 105 typically include a short balance sheet and limited notes, and the profit and loss account does not have to be filed at Companies House where the company chooses not to include it.
FRS 105 is intended for companies that qualify as micro-entities under the UK micro-entities regime and that choose to apply that regime. The size conditions are only part of the picture — certain companies are excluded regardless of size, and the rules and exclusions can change, so eligibility should always be checked against your company's specific circumstances rather than assumed from turnover alone.
For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those size conditions does not automatically mean a company qualifies, because other rules and exclusions can apply. It is also worth remembering that these are the criteria for the current rules — earlier accounting periods were assessed against different limits.
No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that qualifies can choose whether to apply it, and FRS 105 applies when that choice is made. Some qualifying companies prefer a different framework because of the way they present their results, because of group considerations or because of requirements from lenders or other parties. It is a decision worth discussing before your accounts are prepared.
Both are UK financial reporting standards, but they operate at different levels of complexity. FRS 105 is the micro-entities standard, with a simplified balance sheet and minimal disclosure. FRS 102 is the standard for larger small companies and other entities, and it requires more detailed disclosures, more accounting judgements in certain areas and a fuller set of notes. The right choice depends on whether your company qualifies for the micro-entities regime and whether applying it suits your circumstances.
Where a company prepares FRS 105 Micro Entity Accounts and is required to file statutory accounts, those accounts are filed with Companies House in the usual way, although micro-entity accounts are typically shorter than accounts prepared under a fuller framework. Filing the accounts is separate from your Corporation Tax obligations. The accounts are also separate from a Confirmation Statement, which is a different filing that confirms company details rather than reporting financial results.
