FRS 105 is the UK financial reporting standard that applies to micro-entities. It sets out how the financial statements should be prepared, measured and presented when a qualifying company chooses to use the micro-entities regime, including the reduced disclosure requirements that go with it. It sits alongside UK company law rather than replacing it, so the legal requirements for preparing and filing accounts still apply. FRS 105 is an accounting framework — it is not a tax return and it is not submitted to HMRC.
FRS 105 is available to companies that qualify as micro-entities under UK company law and choose to apply the micro-entities regime. Eligibility is largely driven by size. Other rules and exclusions can also affect whether a company qualifies — for instance, certain types of company are excluded regardless of their size, and group structures and first-period situations need separate consideration. Because of this, qualifying on size alone does not automatically mean FRS 105 is available, and it is worth having your position reviewed before deciding.
No. The micro-entities regime is an option, not an obligation. A company that qualifies may choose to apply it, and FRS 105 applies when that choice is made. A qualifying company that prefers a different approach could instead report under the small companies regime using FRS 102 Section 1A, which offers more accounting options but comes with more disclosure. That is a decision for the directors, and it is worth weighing up the trade-off between simplicity and flexibility.
FRS 102 is the broader UK financial reporting standard used by a wide range of companies, with Section 1A covering small companies. FRS 105 is narrower and applies only to micro-entities. Practically, FRS 105 strips things back: some measurement options allowed under FRS 102 are not permitted — for example, revaluations and fair value accounting are not available, and deferred tax is not recognised — and the disclosure requirements are far lighter. FRS 102 gives you more flexibility in how items are measured, but in exchange the accounts become longer and more detailed.
Where a company is required to file annual accounts, those accounts are filed at Companies House, and micro-entity accounts can be filed in the simplified format the regime allows. FRS 105 governs how the financial statements are prepared and presented; the filing itself is a separate step with its own requirements. Filing with Companies House does not mean the accounts have been approved or endorsed by Companies House — the directors remain responsible for the content of the accounts and for ensuring the filing is made correctly.
Yes, they are two distinct things. FRS 105 Micro Entity Accounts are financial statements prepared under the micro-entities regime for the company's members and, where required, filed at Companies House. A CT600 is a Corporation Tax Return submitted to HMRC, which deals with the company's tax position for the period. The figures in your accounts will usually inform the tax return, but the CT600 is a separate document, goes to a different authority, and has its own requirements and deadlines.
It can, in principle, provided it qualifies for the micro-entities regime and the directors choose to apply it. Eligibility is assessed for each accounting period, including a company's first period, so a newly incorporated company may well fall within the size conditions.
