FRS 105 Micro Entity Accounts in Wadebridge

If your company qualifies for the UK micro-entities regime and you have chosen to apply it, FRS 105 Micro Entity Accounts provide the financial reporting framework you need. FRS 105 is the standard that sets out how a qualifying micro-entity prepares its annual financial statements — a balance sheet, a profit and loss account and a small number of supporting notes, prepared on a historical cost basis. Our role is to take the information in your records and turn it into FRS 105 Micro Entity Accounts that reflect your company’s own circumstances, whether you are a single-director consultancy, a trades business or a small family company based in Wadebridge and the surrounding North Cornwall area. Professional preparation helps ensure the figures are consistent with your bookkeeping, that the disclosures reflect the transactions you have actually entered into, and that the accounts are presented in a form suitable for filing at Companies House. We do not assume that every company is eligible: before we start, we look at your turnover, balance sheet total and average employee numbers, together with the relevant exclusions, to establish whether the micro-entities regime is available to you — and where it is not, we will tell you plainly and discuss the alternatives.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Reporting Framework for Qualifying Micro-Entities

FRS 105 is the UK financial reporting standard written specifically for micro-entities, and it sits within the broader micro-entities regime that sits alongside the small companies regime in UK company law. In simple terms, it is a simplified accounting framework: qualifying companies that choose to apply the micro-entities regime prepare their financial statements under FRS 105, which means a shorter set of accounts, fewer disclosure notes and a measurement approach based on historical cost rather than fair value. For most owner-managed companies in Wadebridge, that means the accounts concentrate on what matters — the assets and liabilities in the business, the profit or loss for the period, and the notes needed to explain them — rather than on complex valuations or lengthy policy disclosures. FRS 105 is not something a company is forced into by its size alone. A qualifying company can choose to apply the micro-entities regime and file under FRS 105, or it can apply a different framework such as FRS 102, depending on its circumstances, its shareholders and its plans. What FRS 105 does is give smaller companies a proportionate route to accurate, compliant financial statements, and it is the framework we use for the FRS 105 Micro Entity Accounts we prepare for clients across Wadebridge and North Cornwall.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for companies that qualify for the UK micro-entities regime and then choose to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the following 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those figures give a practical indication of whether the regime is likely to be open to a business such as a small limited company in Wadebridge, but they are not the whole test. Other eligibility rules and exclusions apply, and some entities are prevented from using the micro-entities regime altogether — for example, certain public companies and specific regulated financial businesses — whatever their turnover or headcount. There are also rules about when a company moves in or out of the regime after a change in its size, which can mean eligibility in one year does not automatically carry into the next. On top of that, qualifying does not oblige a company to use FRS 105; applying the micro-entities regime is a choice, and a company may instead prepare its accounts under a different framework. In short, meeting the size thresholds is a useful starting point, but it does not on its own guarantee that FRS 105 is available or appropriate for your company, which is why we review each company’s circumstances individually before preparing FRS 105 Micro Entity Accounts.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Professionally Prepared FRS 105 Micro Entity Accounts for Your Company

Preparing FRS 105 Micro Entity Accounts properly starts with your records — bank statements, sales and purchase invoices, payroll information, asset purchases and any loans or director balances. We work through those records, apply the accounting requirements that are relevant to a micro-entity preparing under FRS 105, and build a set of financial statements that reflects what has actually happened in your business during the period. Because FRS 105 has its own measurement rules and a reduced disclosure requirement, the accounts look different from a set prepared under FRS 102, and the difference matters at the point of filing. We keep the accounts preparation work clearly separated from your other obligations: the financial statements are prepared for the company and, where required, filed at Companies House, while a Corporation Tax Return (CT600) is a separate submission made to HMRC, based on the taxable profits of the company. Your Confirmation Statement is a further, separate filing and is not the same as the accounts. If you are working with us across all of these, we make sure the figures line up between them; if another adviser handles your tax work, we can prepare the FRS 105 accounts so they can be used as the starting point for it. What we cannot do is guarantee a particular filing outcome or guarantee acceptance by any authority — what we can do is prepare the FRS 105 Micro Entity Accounts carefully, on the basis of the information and applicable reporting requirements in front of us, and explain the position clearly so you know what is being filed and why.

FRS 105 is the UK financial reporting standard for micro-entities. It sets out how a company that qualifies for, and chooses to apply, the micro-entities regime prepares its annual financial statements — typically a balance sheet, a profit and loss account and a limited set of notes. It is deliberately simpler than the standards used by larger companies, with a historical cost measurement basis and significantly reduced disclosure requirements, which keeps the accounts proportionate to the size and complexity of a small business.

FRS 105 is available to companies that qualify for the micro-entities regime and decide to apply it. Qualification depends on meeting the size conditions and on not being excluded by other rules — for example, certain public companies and some regulated financial businesses cannot use the regime regardless of their size. Because eligibility is not automatic, it is worth checking your position against the current criteria before assuming FRS 105 is the right framework for your company.

No. Qualifying for the micro-entities regime and applying it are two different things. A company that meets the size conditions may choose to apply the micro-entities regime and prepare FRS 105 accounts, or it may instead prepare its accounts under a different framework such as FRS 102. The decision often comes down to what the directors and shareholders want from the accounts, whether the company needs a more detailed set of financial statements for lenders or investors, and how much disclosure is genuinely useful.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the following 3 conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. Meeting those size conditions is not the whole story, because other eligibility rules and exclusions also apply, and companies that move above or below the thresholds can be treated differently depending on their history. We assess eligibility case by case rather than treating the thresholds as a simple tick-box test.

Both are UK financial reporting standards, but they are written for different sizes of company. FRS 105 is the micro-entities standard: fewer disclosures, a historical cost basis, no fair value accounting for investment property or financial instruments, no revaluation of assets, and deferred tax is not recognised. FRS 102 is used by larger small companies and by entities that need or want a fuller set of financial statements, with more recognition and measurement options and considerably more disclosure. Which one applies to you follows from the regime your company qualifies for and chooses to adopt.

Yes — where a company prepares FRS 105 accounts for a financial year, those accounts form the basis of the annual accounts filing at Companies House, subject to the filing requirements that apply to the company. It is worth knowing that the accounts filing framework is changing: Companies House has been introducing reforms that will affect small and micro-entity companies, including a move towards software-based filing and the filing of additional information. The detail and timing of those changes are subject to confirmation, so it is sensible to check the latest guidance, or ask us, before your next filing date.

Yes, they are two distinct things. FRS 105 accounts are the company's financial statements, prepared under the micro-entities reporting framework and generally filed at Companies House. A CT600 is a Corporation Tax Return submitted to HMRC, which reports the company's taxable profits and is based on the figures in the accounts but adjusted for tax purposes. They are prepared for different recipients, filed through different channels, and on different timescales. Preparing the accounts does not automatically mean the CT600 has been dealt with, so it is important to know who is handling each.

A newly incorporated company can potentially use FRS 105 from its first accounting period if it qualifies for the micro-entities regime and chooses to apply it. In practice, the first year is often straightforward — a short trading period, a modest balance sheet total and few or no employees — but first-year accounts still need the opening position recorded correctly, any share capital or director's loan accounted for, and the right framework chosen. It is worth confirming the position early rather than leaving it until the accounts are due, and if the company later grows beyond the size conditions, the framework may need to change.

We normally need your bookkeeping or accounting records for the period, bank statements and reconciliations, details of sales and purchases if they are not already summarised, payroll information, a list of assets bought or sold, any loans or finance agreements, and the director's loan account position. Bring-your opening balances or last year's filed accounts, plus details of any share capital, dividends or changes in ownership. The more complete and organised the records are, the more efficiently the FRS 105 Micro Entity Accounts can be prepared, and the clearer the picture we can give you of the company's position.
