FRS 105 is the UK financial reporting standard for the micro-entities regime — the framework used to prepare the annual financial statements of qualifying micro-entity companies that choose to apply that regime. It is deliberately simple: assets and liabilities are measured on a historical cost basis, certain accounting options available under other UK GAAP frameworks are not permitted, and disclosure requirements are reduced. The practical effect is usually a shorter, more straightforward set of accounts, which is one reason FRS 105 Micro Entity Accounts are popular with very small limited companies.
No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that qualifies as a micro-entity can choose to apply the regime and prepare FRS 105 accounts, or it can use a different framework such as FRS 102 Section 1A. The right choice depends on the company's circumstances — for example, whether it holds revalued or investment property, whether a lender or parent company expects particular information, or simply which framework gives the clearest picture. Once a framework is chosen, it should generally be applied consistently from year to year.
For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting two of the three is the starting point rather than a complete answer, because other rules and exclusions also apply. Eligibility is assessed for each accounting period, and thresholds can change over time, so it is worth confirming the position for the specific period you are preparing.
FRS 102 is the wider UK GAAP standard, with a reduced-disclosure version often used by small companies. It allows a greater range of accounting treatments — including revaluation, fair value measurement and deferred tax — and requires more notes to the accounts. FRS 105 is far more restrictive: there is no revaluation or fair value accounting, no deferred tax, and much less disclosure. The result is that FRS 105 financial statements are typically shorter and simpler, while FRS 102 accounts give more detail and more flexibility. Neither is automatically better; the most suitable framework depends on what your company needs from its accounts.
