FRS 105 Micro Entity Accounts in Esher

If your company qualifies for the UK micro-entities regime and you have decided to apply it, FRS 105 Micro Entity Accounts provide the financial reporting framework you need. FRS 105 is the standard that applies when a qualifying micro-entity chooses the micro-entities regime, and it is deliberately simpler than the frameworks used by larger companies — but that simplicity still requires careful judgements about what is included, how figures are presented and what disclosures are required. Professional preparation of FRS 105 Micro Entity Accounts in Esher can help ensure your financial statements are put together appropriately for your company’s particular circumstances, from the first draft through to the figures you file. We work with directors and business owners across Esher and the surrounding Surrey area who want their micro-entity accounts handled accurately, explained clearly and prepared without unnecessary complexity.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Reporting Framework for Qualifying Micro-Entities

FRS 105 is the financial reporting standard used in the UK for companies that qualify as micro-entities and choose to apply the micro-entities regime. In simple terms, it is a set of rules that says how a very small company’s financial statements should be put together — what goes on the balance sheet, what goes on the profit and loss account, and what notes (if any) are needed. Because the micro-entities regime is designed to reduce the reporting burden on the smallest companies, FRS 105 is shorter and less complex than the standards applied by larger businesses. It is important to understand that the regime is a choice: a company that meets the qualifying conditions may decide to apply the micro-entities regime and prepare FRS 105 accounts, or it may instead report under a different framework. FRS 105 applies when that choice is made. For directors in Esher running a small limited company, the practical benefit is financial statements that reflect the company’s activity in a straightforward way, which is why so many qualifying businesses look for help with FRS 105 Micro Entity Accounts rather than working it out from scratch.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for companies that qualify for the micro-entities regime and then choose to apply it. Both parts matter: qualifying is one thing, opting in is another. On the size test, for accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable conditions — turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. However, the size conditions are only part of the picture. The micro-entities regime also carries its own eligibility rules and exclusions, and some companies are prevented from using it whatever their turnover or headcount. Meeting the thresholds therefore does not automatically guarantee eligibility, and it certainly does not oblige a company to adopt the regime. For directors in Esher considering FRS 105 Micro Entity Accounts, the sensible approach is to look at the company’s actual circumstances — its size, structure, ownership and filing history — before deciding whether the micro-entities regime is available and appropriate.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Professionally Prepared FRS 105 Micro Entity Accounts in Esher

Preparing FRS 105 Micro Entity Accounts starts with your company’s financial records — bookkeeping, bank transactions, sales and purchase information, assets, liabilities and any relevant supporting documents. From there, the figures are assembled and presented in line with the requirements that apply to a micro-entity preparing financial statements under FRS 105. Professional involvement helps because the framework still involves decisions: which figures belong in which period, how items are measured, what the balance sheet and profit and loss account should show, and whether any notes are required. It is worth being clear about the separate strands of compliance. Your FRS 105 Micro Entity Accounts deal with the accounting and financial reporting of the company, and those financial statements are then filed with Companies House in line with the filing requirements that apply to your company. Corporation Tax is a different matter: a CT600 Corporation Tax Return is submitted to HMRC separately from the accounts, even though the two are prepared from the same underlying records. A Confirmation Statement is a further, separate filing. We can help you understand how these pieces fit together so nothing is overlooked, while preparing your FRS 105 financial statements carefully and accurately for your circumstances.

FRS 105 is the UK financial reporting standard for companies that qualify as micro-entities and choose to apply the micro-entities regime. It sets out how a qualifying company's financial statements should be prepared — what appears on the balance sheet, what appears on the profit and loss account, and what disclosure is expected. It is intentionally streamlined compared with the standards used by larger companies, on the basis that the smallest businesses should not face the same reporting burden.

No. The micro-entities regime is an available accounting regime rather than an automatic requirement. A company that meets the qualifying conditions may choose to apply it and prepare FRS 105 accounts, or it may report under a different framework. If the company does not qualify, or if the directors decide not to use the regime, FRS 105 will not apply. It is worth reviewing the position with your accountant, because the choice can affect how the accounts look and how much disclosure is needed.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions to qualify as a micro-entity: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those size conditions is not the whole picture — other rules and exclusions can apply, and certain companies are not eligible for the regime regardless of their size. Because eligibility depends on the specific facts, it is sensible to have your company's position assessed rather than assumed.

Both are UK financial reporting standards, but they are aimed at different sizes of company and differ in complexity. FRS 105 is the micro-entities standard and is the more streamlined of the two, with simpler measurement and reduced disclosure. FRS 102 is used by a much wider range of businesses, including small companies that do not use the micro-entities regime, and it covers more areas of accounting in greater depth. Moving between them is possible, but the transition needs to be handled carefully so the figures and disclosures remain consistent with the framework you have chosen.

The financial statements are prepared for the company and then filed at Companies House in accordance with the filing requirements that apply to it, normally in the form of accounts rather than a full set of statements. This is entirely separate from your Corporation Tax obligations. A CT600 Corporation Tax Return is submitted to HMRC and is not the same document as your FRS 105 Micro Entity Accounts, even though both are based on the same underlying financial records. A Confirmation Statement is a separate filing again.

A newly incorporated company can potentially use FRS 105 for its first set of accounts if it qualifies as a micro-entity and the directors choose to apply the micro-entities regime. In practice, a first-year company usually meets the size conditions comfortably, but the other eligibility rules and exclusions still need to be considered — a company can be excluded from the regime for reasons unconnected to its turnover or headcount. It is worth confirming your position before the first accounts are prepared.

Typically you would provide your bookkeeping records or accounting software access, bank statements and reconciliations, details of sales and purchases, payroll information if you employ staff, copies of any loan or finance agreements, details of fixed assets and any depreciation, stock or work-in-progress figures where relevant, and confirmation of amounts owed to and by the company at the period end. If you have previously filed accounts, those are helpful too. The better the records, the more straightforward the preparation — and the easier it is to answer any questions that arise along the way.

Companies House has been introducing reforms to the way accounts are filed, including a move towards filing small and micro-entity accounts using software rather than paper or basic web filing. The direction of travel is towards more structured, digital submissions and closer alignment between what is filed and what the accounts contain. Because the detail and timing of these changes can shift, the practical thing to do is check the current position when your accounts are due, and make sure your records and software are in a position to meet whatever format applies.
