FRS 105 Micro Entity Accounts in Diss

FRS 105 provides the financial reporting framework for qualifying micro-entities that choose to apply the UK micro-entities regime. If your company in Diss is considering FRS 105 Micro Entity Accounts, professional preparation can help ensure the financial statements are put together appropriately for your circumstances — reflecting your actual trading activity, assets and liabilities, and the disclosure requirements that apply under the regime. It also helps to keep the accounts consistent with the records you hold and with the figures used elsewhere, such as in your Corporation Tax computations. Eligibility is not automatic, so it is worth reviewing the size conditions and any relevant exclusions before deciding whether the micro-entities regime is the right choice for your company.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Micro-Entities Regime in Plain English

FRS 105 is the UK accounting standard written specifically for micro-entities. When a company qualifies for the micro-entities regime and chooses to use it, FRS 105 sets out how the financial statements should be prepared — what to recognise, how to measure it, and the limited disclosures that are required. In practice, that means simpler accounts than you would see under a fuller framework, with a balance sheet, a profit and loss account and a small number of notes. For a small company in Diss, that simplicity can make the year-end process clearer and more straightforward, provided the regime genuinely suits the business and the accounts still give an accurate picture of its position.

Who Can Use FRS 105 in the UK? Qualifying for the Micro-Entities Regime

FRS 105 is intended for companies that qualify for the UK micro-entities regime and choose to apply it. The test is about size and about the rules: for accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 conditions, subject to the relevant rules and exclusions — turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those size conditions matters, but it is not the whole story. Other eligibility rules and exclusions can apply, so a company in Diss that looks like a micro-entity on turnover alone should not assume eligibility without checking the detail, including whether the micro-entities regime is genuinely the right fit for how the business is structured.

A company generally needs to meet at least 2 of these 3 conditions.

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Companies House Filing

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Startups & Small Companies

Dormant & Low-Activity Companies

Dormant company accounts and FRS 105 accounts for LLPs that meet the micro-entity thresholds.

Professionally Prepared FRS 105 Micro Entity Accounts and Accurate Financial Reporting

We prepare FRS 105 Micro Entity Accounts from the financial records you provide, applying the recognition, measurement and disclosure requirements of the micro-entities regime as they apply to your company. The work covers building the financial statements themselves — balance sheet, profit and loss account and the accompanying notes — and it sits alongside, but separately from, your other filing obligations. Filing accounts with Companies House is a distinct process from submitting a Corporation Tax Return (CT600) to HMRC, and we are clear about which is which and what each involves. Where you would like support with both, we can coordinate the figures so that the accounts and the tax position are consistent with the records you keep.

FRS 105 is the financial reporting standard that applies when a qualifying company chooses to use the UK micro-entities regime. It is a simplified framework: it sets out how assets, liabilities, income and expenses are recognised and measured, and it requires far fewer disclosures than standards designed for larger businesses. The result is a set of financial statements — typically a balance sheet, a profit and loss account and a small number of notes — built specifically for micro-entity reporting.

It is available to companies that qualify as micro-entities under the UK rules and that decide to apply the regime. Qualifying is not simply a matter of being small: the size conditions must be met, and certain rules and exclusions can prevent a company from using the regime even where it looks small on paper. It is also a choice rather than a requirement, so a qualifying company may instead apply a fuller framework. We can review your circumstances before any decision is made.

No. The micro-entities regime is optional. A company that qualifies can choose to apply FRS 105, or it can apply a different framework such as FRS 102, which includes a lighter section for small entities but offers more measurement options and requires more disclosure. Once a framework is adopted it is normally applied consistently, so it is worth thinking about the longer term — for example, whether you expect the company to grow or to bring in investors — before settling on an approach.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 size conditions, subject to the relevant rules and exclusions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those conditions does not automatically settle the question, because other eligibility rules can apply. It is therefore sensible to confirm the position for your specific company and accounting period.

Both are UK accounting standards, but they are aimed at different sizes of entity. FRS 105 is the micro-entity standard: measurement is simpler, fair value accounting is largely ruled out, and disclosure is minimal. FRS 102 is used by a much wider range of companies, with a reduced-disclosure section available for small entities. In practice, FRS 102 gives more accounting options and asks for more notes, while FRS 105 keeps things short — which suits many very small companies but may not suit one with more complex arrangements.

Yes. If your company is required to file annual accounts, preparing them under FRS 105 does not remove that obligation. Micro-entity accounts prepared under FRS 105 can be filed at Companies House, and the regime's simplified format usually means the filed accounts are much shorter than those of a larger company. The deadline for filing depends on your company's own circumstances and accounting reference date, so it is worth keeping that date in your diary rather than assuming a fixed timescale.

Yes, they are two different things. FRS 105 Micro Entity Accounts are the financial statements prepared under the micro-entities regime, whereas a CT600 is the Corporation Tax Return submitted to HMRC. They go to different bodies — Companies House receives the accounts, while HMRC receives the tax return — and they serve different purposes. The accounts figures normally feed into the tax computation, so it helps to prepare them consistently, but preparing the accounts does not replace the tax filing, and the tax filing does not replace the accounts.

In most cases we would ask for your financial records for the period — bookkeeping or accounting software exports, bank statements, sales and purchase records, details of any loans, hire purchase or lease agreements, and information on fixed assets and stock. Payroll information helps confirm employee numbers, and prior year accounts provide useful context. If records are incomplete, we can talk through what is missing and how best to bring things up to date before the accounts are prepared.
