FRS 105 Micro Entity Accounts in Colden Common

FRS 105 Micro Entity Accounts are prepared under the financial reporting framework that applies to qualifying micro-entities which choose to adopt the UK micro-entities regime. For directors in Colden Common running a small limited company, that choice shapes the whole look and feel of the year-end accounts — from how the balance sheet and profit and loss account are presented to which disclosures are required and which are not. Because eligibility depends on a company’s individual circumstances rather than on size tests alone, professional preparation is about more than dropping figures into a template. We review the company’s financial records, its activities and the rules that apply to it, then prepare FRS 105 Micro Entity Accounts that reflect its position accurately and consistently. Not every small company qualifies for the micro-entities regime, and not every qualifying company has to use it — part of the work is helping you understand which position you are actually in before anything is filed.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The UK Micro-Entities Regime in Plain English

FRS 105 is the UK financial reporting standard written specifically for micro-entities — the smallest companies that qualify for, and choose to apply, the micro-entities regime. In practice, it is the simplest of the UK accounting frameworks available to limited companies. The balance sheet and profit and loss account are prepared on a straightforward basis, and the disclosure requirements are considerably lighter than those that apply under larger-company frameworks. The important point is that FRS 105 is not applied automatically. A company qualifies for the micro-entities regime only if it meets the relevant size criteria and is not caught by other eligibility rules or exclusions, and even then it may choose a different framework if it prefers. When the micro-entities regime is the chosen option, FRS 105 is the standard used to prepare the financial statements. For directors in Colden Common, that usually means clearer, shorter accounts that still need to present the company’s financial position properly.

Who Can Use FRS 105 in the UK? Eligibility for the Micro-Entities Regime

FRS 105 is intended for companies that qualify for the UK micro-entities regime and choose to apply it. The size side of that test is set out in company law: for accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable conditions — turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those conditions is not, on its own, a guarantee that the regime is available. Other eligibility rules and exclusions apply, and some companies are prevented from using the micro-entities regime regardless of their size. Eligibility can also change from year to year as a business grows or contracts, so it is worth reviewing rather than assuming. Directors in Colden Common who think their company may qualify can have their position checked against all of the relevant conditions before the accounts are prepared.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Professionally Prepared FRS 105 Micro Entity Accounts and Accurate Financial Reporting

Preparing FRS 105 Micro Entity Accounts starts with your records — bank statements, sales and purchase information, payroll details, asset purchases, loans and any other transactions that affect the year. From there, the figures are reviewed, adjusted where needed and presented as a set of micro-entity financial statements in line with the applicable reporting requirements. The accounts and the Companies House filing are handled as one piece of work, so the version delivered to the registrar matches what the directors have approved. Corporation Tax is a separate matter: a CT600 is submitted to HMRC and is based on the company’s taxable profits, which are not always the same as the profit reported in the accounts. We can help with both, and we will be clear about which obligation belongs to which filing so nothing gets mixed up. What we offer is careful, methodical work based on the information you provide — the acceptance of any filing always rests with the relevant authority.

FRS 105 is the UK financial reporting standard for micro-entities. It sets out how the smallest qualifying companies prepare their financial statements when they choose to apply the micro-entities regime, including how the balance sheet and profit and loss account are presented and what disclosures are required. It is deliberately simpler than frameworks such as FRS 102, which is designed for a much wider range of companies. In short, it is the accounting framework that sits behind FRS 105 Micro Entity Accounts.

FRS 105 is available to companies that qualify as micro-entities and choose to apply the micro-entities regime. Qualifying generally involves meeting at least two of three size conditions covering turnover, balance sheet total and average employee numbers, while also staying within the other eligibility rules and exclusions that apply. Because those rules depend on the individual company, it is worth checking before assuming FRS 105 applies. Companies that do not qualify, or that prefer a fuller framework, prepare accounts under something else, most commonly FRS 102.

No. Qualifying for the micro-entities regime does not force a company to use it. A company that meets the criteria can choose to apply the regime and prepare FRS 105 accounts, or it can prepare accounts under a different framework such as FRS 102. Some directors prefer the additional disclosure a fuller framework provides, for example where lenders, investors or group companies want more detail. Others value the simpler presentation FRS 105 allows. The choice should be made with your circumstances in mind rather than by default.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those size tests is not the whole story, because other eligibility rules and exclusions can apply and some companies cannot use the regime regardless of size. We look at the tests and the wider rules together before confirming whether FRS 105 is available to a particular company.

Both are UK financial reporting standards, but they are aimed at different sizes of company and produce different accounts. FRS 105 is written for micro-entities and keeps things as simple as the law allows, with lighter disclosure requirements and a more restricted set of accounting options. FRS 102 is a broader framework used by small and larger entities, and it requires more disclosures and more detailed accounting treatment in a number of areas. The framework you use affects how the accounts look and what they include, which is why the choice between FRS 105 and FRS 102 matters.

Yes. A limited company has to deliver accounts to Companies House each year, and if it has prepared them under FRS 105, those are the accounts in question. What actually gets filed depends on the company's circumstances and the filing rules in force, and filing requirements for small and micro-entity companies have been changing. For accounting periods beginning on or after 6 April 2025, companies are generally expected to file more information than the limited versions previously allowed, and submission is moving towards software-based filing. It is worth checking current Companies House guidance or asking us what applies to your year.

Yes, they are two different things going to two different places. Your FRS 105 Micro Entity Accounts are the financial statements prepared for the company and its shareholders and delivered to Companies House. A CT600 is the Corporation Tax Return submitted to HMRC, which works out the tax due on the company's taxable profits. The two are related, since the accounts usually form the starting point for the tax computation, but profit in the accounts is not automatically the same as taxable profit — items such as depreciation and capital allowances are treated differently. Filing one does not satisfy the other.

Typically we ask for your accounting records for the period: bank and credit card statements, sales invoices or summaries, purchase and expense records, payroll information, details of any assets bought or sold, loan and lease agreements, and the previous year's accounts where available. If you use accounting software, we can often work from that directly. We will also want to know about anything unusual that happened during the year, such as a change in ownership, a new loan or a significant one-off cost, because those can affect how the accounts are prepared. The more complete the records, the smoother the process.
