FRS 105 Micro Entity Accounts in Buxted

If your company is a qualifying micro-entity in Buxted, FRS 105 Micro Entity Accounts give you a simpler, streamlined way to present your financial position. FRS 105 is the financial reporting framework that applies when a qualifying company chooses to adopt the UK micro-entities regime, and it allows for a more proportionate set of financial statements than the fuller standards used by larger businesses. Professional preparation helps ensure your accounts reflect your actual trading activity, are built from accurate bookkeeping records, and are presented in line with the framework’s presentation and disclosure requirements. It also means the figures used in your accounts are consistent with the information you rely on elsewhere, such as your internal management reporting and any other filings that remain the responsibility of the company. Eligibility is not automatic for every small company — it depends on the size conditions for the relevant period and on whether any exclusions or other rules apply — so the sensible starting point is a conversation about your circumstances before any accounts are prepared.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Micro-Entities Regime in Plain English

FRS 105 is the financial reporting standard that sits behind the UK micro-entities regime. In simple terms, it is the rulebook a qualifying company uses when it chooses to prepare micro-entity accounts — the shortest and most straightforward version of annual financial statements available under UK accounting standards. Where the fuller framework, FRS 102, asks for a wide range of notes and disclosures, FRS 105 keeps things lean: a simplified balance sheet, a simplified profit and loss account, and a much shorter set of notes. It also takes a more straightforward measurement approach, so you generally are not dealing with revaluations or fair value adjustments in the way larger companies might be. The important point is that the micro-entities regime is a choice. A company that qualifies can decide to apply it and prepare FRS 105 Micro Entity Accounts, or it can use a fuller framework instead. FRS 105 applies when the micro-entities regime is the regime that has been selected for that company and period. Understanding which framework fits your business is the first step, and it is a decision worth making deliberately rather than by default.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for companies that qualify for the UK micro-entities regime and that choose to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those figures are a useful guide, but they are not the whole test. Other eligibility rules apply, and certain companies are excluded from the micro-entities regime altogether — for example, where the company’s activities or structure fall outside what the regime permits. That means meeting the size conditions does not automatically guarantee that FRS 105 can be used for a particular company or period. On top of eligibility, there is the question of choice: a qualifying company can decide to apply the micro-entities regime and prepare FRS 105 Micro Entity Accounts, or it can use a fuller framework. In Buxted and across the UK, the right approach is to look at the size conditions, any exclusions that might apply, and what the company actually needs from its accounts before deciding.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Companies House Filing

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Dormant & Low-Activity Companies

Professionally Prepared FRS 105 Micro Entity Accounts

FRS 105 Micro Entity Accounts should be built from your company’s own financial records — bank statements, sales and purchase records, payroll information, expense documentation and any asset details — rather than estimated or assumed figures. When accounts are prepared properly, the balance sheet, profit and loss account and supporting notes are pulled together from that evidence and presented in the format FRS 105 requires for the period in question. It is worth being clear about how the different obligations sit alongside each other. Preparing and filing your financial statements with Companies House is one task. Meeting your Corporation Tax obligations, which includes submitting a separate Corporation Tax Return (CT600) to HMRC, is another. A Confirmation Statement is a further, separate filing. Professionally prepared accounts support all of these by giving you a reliable set of figures, but the accounts themselves are not a substitute for a tax return, and filing accounts does not discharge your tax obligations. Our role is to prepare your FRS 105 Micro Entity Accounts carefully and accurately based on the records you provide and the reporting requirements that apply to your company.

FRS 105 is the financial reporting standard that supports the UK micro-entities regime. It sets out how qualifying companies that choose to apply that regime prepare their annual financial statements, using a simplified balance sheet, a simplified profit and loss account and a limited set of notes. It is designed to reduce the reporting burden on the smallest companies while still producing accounts that give a clear picture of the business.

It is available to companies that qualify as micro-entities under the UK rules and that choose to apply the micro-entities regime. Qualifying is not simply a matter of being small — the size conditions have to be met for the relevant period, and certain rules and exclusions can prevent a company from being treated as a micro-entity even where it looks small on paper. It is also a choice: a qualifying company can opt for a fuller framework instead.

No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that meets the qualifying conditions can decide whether to apply it. FRS 105 applies when that regime has been chosen for the company and the accounting period in question. Many qualifying companies do choose it because it is simpler, but the decision should be made deliberately.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. Meeting the size conditions is the starting point rather than the whole answer, because other eligibility rules and exclusions can also apply. Your individual circumstances should always be checked before relying on the regime.

FRS 105 is the micro-entities standard, while FRS 102 is the fuller financial reporting standard used by a much wider range of companies, including small companies that do not choose the micro-entities regime. FRS 105 involves far fewer disclosures and a more straightforward measurement approach. FRS 102 gives more detailed information to readers of the accounts but requires considerably more work to prepare. Which one suits your company depends on your circumstances and the regime you select.

In most cases, a company's annual accounts are filed at Companies House, and that obligation is not removed by using FRS 105 — the micro-entities regime affects how the accounts are prepared, not whether they are filed. Filing requirements and formats are set by Companies House and can change, so it is worth checking the current position for your company's filing. This is separate from your Corporation Tax responsibilities.

Yes, and it is important not to treat them as the same thing. FRS 105 accounts are your company's financial statements, prepared under the micro-entities framework and generally filed at Companies House. A CT600 is a Corporation Tax Return submitted to HMRC, which deals with your company's tax position. The accounts provide figures that feed into the tax return, but filing accounts does not satisfy your Corporation Tax obligations, and vice versa.

Typically we would need your bookkeeping records for the period, bank and credit card statements, sales and purchase information, payroll details if you employ staff, records of any assets the company holds, and details of any loans or amounts owed to or by the company. If you have previous accounts, prior year figures are helpful too. The more complete and organised your records are, the more straightforward the preparation process tends to be.
