FRS 105 Micro Entity Accounts in Backworth

FRS 105 Micro Entity Accounts are prepared under the financial reporting framework that applies to qualifying micro-entities which choose to adopt the UK micro-entities regime. If your company in Backworth keeps straightforward records and expects to fall within the micro-entity size limits, FRS 105 can offer a simpler, shorter set of financial statements than other reporting frameworks, with reduced disclosure requirements. Professional preparation can help ensure your FRS 105 Micro Entity Accounts are put together appropriately for your company’s own circumstances — reflecting the transactions actually recorded, the accounting policies applied and the format required by the framework. Eligibility is not automatic, however. A company must both qualify for the micro-entities regime and decide to apply it, and certain company types and activities are excluded regardless of size. We can review your position, discuss whether FRS 105 is the right framework for your Backworth company, and prepare accounts that are clear, consistent and ready for the next stage of your reporting.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Micro-Entities Reporting Framework

FRS 105 is the UK financial reporting standard written specifically for micro-entities. In simple terms, it is the rulebook that sets out how a very small company’s annual accounts should be prepared when that company qualifies for the micro-entities regime and chooses to use it. It sits alongside the UK’s company law framework, which is what actually creates the micro-entities regime; FRS 105 is the accounting standard that applies once that regime has been chosen. The practical effect is a shorter, simpler set of financial statements: a small number of primary statements and far fewer notes than you would see under a fuller framework. That can make the accounts easier to read and less costly to prepare, which is often exactly what an owner-managed company in Backworth wants. It does mean some simplifications too — certain items are measured on a simpler basis and some disclosures are not given — so it is worth checking that the framework suits how you use your accounts, particularly if a bank, lender or investor will be reading them. Qualifying for the regime and choosing to apply it are two separate steps, and both need to be in place before FRS 105 is used.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for UK companies that qualify for the micro-entities regime and choose to apply it — qualifying is one step, choosing is another, and both must be in place. On size, for accounting periods beginning on or after 6 April 2025 a company generally needs to meet at least 2 of 3 applicable conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those tests are a useful starting point rather than the whole answer. Other eligibility rules and exclusions can apply, and certain companies are shut out of the regime no matter how small they are, so meeting the size conditions does not guarantee eligibility. Group structures, sector-specific restrictions and the nature of a company’s activities can all affect the outcome. For a company in Backworth, the sensible approach is to look at your actual figures and your circumstances together, confirm whether the regime is available, and then decide whether FRS 105 genuinely suits how your accounts will be used.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Professionally Prepared FRS 105 Accounts and Accurate Financial Reporting

Preparing FRS 105 Micro Entity Accounts starts with your financial records: bookkeeping entries, bank statements, sales and purchase invoices, payroll information, expense receipts and any asset or loan details. From those records we build a balance sheet, a profit and loss account (often presented in the shorter formats the framework allows) and the limited notes that FRS 105 requires, keeping the presentation consistent with the micro-entity regime. We work to the applicable reporting requirements and to the framework’s presentation and measurement rules, and we flag anything in your records that needs clarification before the accounts are finalised. It is important to keep two things separate: the preparation of your financial statements, and the filing of those accounts with Companies House. Corporation Tax is a third, separate matter — a CT600 is submitted to HMRC and is not the same thing as your FRS 105 Micro Entity Accounts, even though both are built from broadly the same underlying figures. We can help you understand how each of these fits together for your Backworth company, but responsibility for the accuracy of the underlying records and for approving the accounts remains with the company’s directors, and no firm can guarantee a particular outcome or acceptance of a filing.

FRS 105 is the UK financial reporting standard for micro-entities. It sets out how the annual accounts of a qualifying company should be prepared when that company has chosen to apply the micro-entities regime. It is deliberately short and simple: a limited set of primary statements and far fewer notes than a fuller framework would require, with some measurement simplifications built in. FRS 105 is the accounting standard; the micro-entities regime itself comes from UK company law. The two work together — the regime makes the option available, and FRS 105 tells you how to prepare the accounts once it is used.

FRS 105 is available to companies that qualify for the micro-entities regime and choose to apply it. In broad terms, a company needs to be small enough to fall within the regime's size conditions and must not be caught by any of the exclusions, which can include certain company types and activities such as some financial and investment businesses. Because exclusions are based on what the company is and does, not just on its size, a company can meet every size test and still not be eligible. It is worth confirming your position before assuming FRS 105 applies — especially for a new or recently restructured company in Backworth.

No. The micro-entities regime is an accounting regime that qualifying companies may choose to use; it is not imposed automatically. A company that qualifies can decide to use the micro-entities regime and therefore FRS 105, or it can apply a fuller framework instead. That choice often comes down to who will read the accounts and what they need from them — a lender or investor may want more detail than a micro-entity set of accounts provides. The decision is normally reviewed each year, because your circumstances, and the framework you are eligible for, can change.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. These are the headline size tests, and other rules and exclusions also apply — meeting the size conditions alone does not automatically mean your company qualifies, and some companies are excluded regardless of how small they are. If your company is part of a group, or operates in a sector with specific restrictions, the position can be more involved.

Both are UK financial reporting standards, but they are aimed at different sizes of company. FRS 105 is the micro-entities standard: minimal disclosures, simplified measurement, and a short set of financial statements. FRS 102 is the standard for larger small companies and other entities, and it requires considerably more disclosure, recognises more items and gives a fuller picture of the business. In practice, FRS 105 is cheaper and quicker to prepare, while FRS 102 produces accounts that are more informative to lenders and investors. Neither is inherently better — the right one depends on what your company qualifies for and what the accounts need to do.

Where a company prepares FRS 105 Micro Entity Accounts, those accounts normally form part of the company's annual accounts that are filed at Companies House, although the accounts filed may be a version of what the directors approve and the filing requirements depend on the company's circumstances. Filing accounts with Companies House is separate from filing a Corporation Tax Return with HMRC, and separate again from a Confirmation Statement. Each has its own purpose and its own submission route. We can help you keep track of which documents go where so nothing is missed.

Yes, they are entirely separate filings. FRS 105 Micro Entity Accounts are financial statements prepared under the micro-entities framework and are generally filed at Companies House. A CT600 is a Corporation Tax Return submitted to HMRC to report the company's taxable profits and calculate the tax due. The two draw on the same underlying records, so they should tell a consistent story, but they are not the same document and neither replaces the other. Companies normally need to deal with both, along with a Confirmation Statement, as part of their annual compliance cycle.

Possibly, but it is not automatic. A newly incorporated company has no trading history, so eligibility in the first period is usually assessed on its expected or actual figures for that period, and it must also clear the exclusions that apply to its type of business. Many small, straightforward new companies do end up able to use the micro-entities regime and therefore FRS 105, but whether that is the right choice for yours depends on your plans — for example, if you expect to raise finance or bring in investors, a fuller framework may serve you better from the outset.

We normally need your bookkeeping or accounting records for the period, bank statements and reconciliations, sales and purchase records, payroll information if you employ staff, details of any assets bought or sold, loan and director's loan account balances, stock or work-in-progress figures where relevant, and any previous year's accounts. We also need the company's basic details and accounting period dates, and a note of anything unusual that happened in the year. The cleaner and more complete the records, the smoother the process — the framework reduces disclosure but it does not remove the need for accurate underlying figures.
