What Are First Year Accounts for a Micro Company, and How Do They Differ From Later Years?

First year accounts are the first set of annual statutory accounts that a limited company prepares, covering the period from incorporation (or from when it began trading, where that differs) up to its first accounting reference date. Along with the profit and loss account where applicable, the balance sheet and the notes that accompany them, they form the company’s formal financial reporting for that opening period. Preparing them is not optional simply because the company is new or has only recently started operating; a company generally has statutory filing obligations from the point it is incorporated, even where trading has been limited or has not yet begun, and the exact position depends on its circumstances and the applicable rules rather than being assumed to be dormant. The first accounting period is usually longer than a standard year. Companies House normally sets an accounting reference date on incorporation — commonly to the end of the month in which the company was formed — and the first period runs from the incorporation date to that reference date, which often means a first period of more than twelve months. Directors can shorten an accounting period where the rules allow, and if they do, different dates apply to the accounts and to the Corporation Tax position. That is one reason the first set of accounts is treated differently from later annual accounts, which then follow roughly twelve-month cycles.
