What Are First Year Accounts for a Micro Company, and Why Do They Matter?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its opening accounting period. When a company is incorporated, Companies House sets an accounting reference date. The first accounting period generally runs from the incorporation date, or from the date the company began trading where that is relevant, up to that first reference date. That often means the opening period is longer or shorter than twelve months, so the first accounts do not always look like later years. These accounts are not optional. A limited company registered in Waterlooville, like any other UK company, is expected to prepare annual accounts and deliver them to Companies House where required, even where activity in the period has been limited. The accounts normally include a balance sheet and, depending on the framework that applies, a profit and loss account, together with the necessary notes and statements. Company directors remain responsible for the accounting records that sit behind those figures. That period normally starts on the incorporation date, or when trading began where that differs, and ends on the company's first accounting reference date set by Companies House. Under the applicable reporting framework the accounts generally include a balance sheet, supporting notes and, where relevant, a profit and loss account. Directors remain responsible for ensuring the accounts are prepared and filed correctly, even when an accountant handles the preparation.

The timing depends on your company's incorporation date, its accounting reference date and the rules Companies House applies to a first set of accounts, which can produce a different deadline from later years. Rather than working from an assumed date, it is best to check the specific dates recorded for your company and plan backwards from there. If Corporation Tax applies, HMRC deadlines for a CT600 and any payment are separate from the Companies House accounts filing date.

It varies by company, but the starting point is usually complete accounting records: bank transactions and statements, sales and income records, business expenses and purchase invoices, asset purchases, share capital details, any director loans or transactions, and loans or finance agreements. Payroll or VAT records may also be relevant where the company has those arrangements. If activity has been minimal, we simply work with what exists and confirm what, if anything, needs to be reconstructed.

Generally yes, where the filing requirements apply to the company, and being recently incorporated does not remove that obligation. A company with limited activity or no trading yet may still have statutory filing responsibilities, and its position depends on the applicable rules and its particular circumstances. We can review whether a dormant or non-trading basis genuinely applies rather than assuming it does.

No, and treating them as one process is a common cause of missed filings. The statutory accounts are delivered to Companies House where required. A Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations, and the periods used for tax and for accounts are not always identical. A confirmation statement is a separate Companies House filing that confirms the registered information. Completing one does not automatically complete the others.

Filing obligations can still apply. Where there have been no significant accounting transactions, the correct reporting position depends on the company's circumstances and the applicable rules, and it does not automatically follow that the company is dormant for filing purposes. Accounts may still need to be prepared and delivered, and any Corporation Tax position considered separately. We look at what actually happened in the period before recommending a route.

Possibly, but not automatically. FRS 105 is the financial reporting standard used by entities that qualify for the micro-entity framework, and eligibility depends on meeting the applicable criteria for the relevant accounting period. Some newly incorporated companies qualify; others do not, and a company that does not qualify may still be able to report as a small company. Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, and the outcome depends on how late the filing is and the company's filing history. Paying any penalty does not remove the requirement to file the outstanding accounts, so the priority is to prepare and deliver them as soon as possible. Appeal options exist in certain circumstances and eligibility depends on the facts, so it is worth taking advice rather than assuming a particular outcome.
