What Are First Year Accounts for a Micro Company?

First-year accounts are the very first set of annual statutory accounts that a limited company prepares after incorporation. They cover the company’s initial accounting period, which normally runs from the date of incorporation to the company’s first accounting reference date — a date that is set when the company is registered and can differ from one company to the next. Companies House may adjust that period in certain circumstances, so the length and end date of the first accounting period should always be checked against the company’s own records rather than assumed. These accounts are not optional simply because the company is new. Where the company has been incorporated, it generally has a statutory accounts obligation even if trading has not yet begun or activity has been limited. Where activity has been minimal, the correct reporting position depends on the company’s specific circumstances and the applicable rules; it should not automatically be assumed to be dormant. The description “micro company” is a reporting category, not a description of every new company. A limited company may be able to use the micro-entity accounting framework if it meets the eligibility conditions for the relevant accounting period, and FRS 105 is the financial reporting standard that applies to qualifying entities preparing micro-entity accounts. If those conditions are not met, the company may instead fall under the small-company framework or need to prepare accounts under a fuller framework. Eligibility has to be assessed against the company’s own figures and circumstances, so we look at the position properly before deciding which basis of preparation is appropriate. Micro-entity accounts are simpler in presentation but still statutory accounts. They typically include a balance sheet, a small number of notes and, where applicable, a profit and loss account. Directors remain responsible for the accuracy of the records behind those figures and for ensuring the company’s filings are made on time, even where an accountant is engaged to prepare them. It is worth being precise about what first-year accounts are not. They are not a Corporation Tax Return, and filing them with Companies House does not submit a CT600 to HMRC; a company’s Corporation Tax position is dealt with separately, and its first Corporation Tax accounting period may not be identical to the statutory accounts period. First-year accounts are also not a confirmation statement, which is a separate filing used to confirm company information held at Companies House. Keeping these obligations apart is one of the most common sources of confusion for directors in Tyrone during their first year, and it is something we clarify at the outset.

They usually include a balance sheet and, where applicable, a profit and loss account, together with any required notes and a directors' report where one is needed. Once prepared and approved by the directors, they are delivered to Companies House where required. They are a statutory filing rather than an internal management document, and they set out the company's financial position at the end of its first period.

The deadline depends on the company's incorporation date, its accounting reference date and the applicable Companies House requirements, so there is no single answer that fits every new company. Companies House normally allows a longer period for a first set of accounts than for subsequent years, and the exact date applicable to your company is shown in the Companies House records. Because the first accounting period can be longer or shorter than twelve months, we always confirm the period and the resulting filing date from the company's own record rather than working from an assumption.

We generally need complete accounting records for the period: bank statements and transaction listings, sales and income records, purchase invoices and business expense receipts, details of any assets purchased, share capital information, any loans or finance arrangements, and details of transactions with directors. Where the company runs payroll or is VAT registered, the relevant payroll or VAT records will also be needed. Not every company will have all of these — a company incorporated shortly before its first period end, for example, may have very little activity to report. Once we see what exists, we will tell you exactly what is still required to complete the accounts.

In most cases a company that has been incorporated still has a statutory accounts filing obligation, even where trading has not commenced or activity has been minimal. The reporting position for a company with no significant accounting transactions depends on its own circumstances and the applicable rules, and it is not automatically described as dormant. It is worth checking the position properly rather than assuming nothing needs to be filed, because obligations that are overlooked in the first year can be difficult to unpick later.

No. First-year accounts are prepared and delivered to Companies House where required, while a Corporation Tax Return — commonly submitted as a CT600 — is filed separately with HMRC where the company has a Corporation Tax obligation. The two filings serve different purposes and go to different destinations, and completing one does not complete the other. The figures in the accounts are often used as a starting point when preparing the Corporation Tax position, but the company's first Corporation Tax accounting period and its statutory accounts period may not be identical, so both need to be considered on their own terms.

Some newly incorporated companies do qualify for the micro-entity framework, and FRS 105 is the financial reporting standard that applies to qualifying entities preparing accounts on that basis. Qualification depends on meeting the applicable eligibility conditions for the relevant accounting period, so it is not automatic simply because a company is new, small or has low turnover. If the conditions are not met, the small-company framework or a fuller reporting basis may be required. A company may need to deal with both, along with any Corporation Tax or VAT obligations that apply to it, so it helps to keep a clear view of each filing and its own requirements.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, and the outcome can vary depending on how late the filing is and the circumstances involved. Paying any penalty does not remove the requirement to file the outstanding accounts, and late filing can also affect the company's filing history and standing. If accounts are already overdue, the priority is to get accurate accounts completed and delivered as soon as possible. Where a penalty appeal is considered, eligibility depends on the specific circumstances and the applicable rules, and we can explain the position honestly rather than promising a particular outcome.
