First Year Accounts for Limited Company in Tewkesbury Glos: Professional Preparation and Filing Support

Your company’s first statutory accounts are a milestone, not a formality, and they are prepared from a set of accounting records that may still be taking shape. Micro Entity Accounts helps newly incorporated and newly trading limited companies in Tewkesbury Glos with the whole process: reviewing the records you hold, preparing a balance sheet and profit and loss account where applicable, and supporting the delivery of those accounts to Companies House where required. Because the first accounting period begins at incorporation and ends on the company’s first accounting reference date, it is often longer than later periods, and that can affect how the figures are put together. We also explain how Corporation Tax fits around this work, including the fact that a CT600 is submitted to HMRC separately and is not the same filing as your Companies House accounts.

He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts, and How Does Micro-Entity Reporting Fit In?

First-year accounts are the first set of statutory annual accounts a limited company prepares for its opening accounting period. That period normally runs from the date of incorporation to the company’s first accounting reference date, although the exact length depends on when the company was formed and how the accounting reference date has been set. The accounts are prepared from the company’s accounting records and typically include a balance sheet, a profit and loss account where applicable, and supporting notes. For most companies, statutory accounts are delivered to Companies House where required, and directors remain responsible for making sure this happens, even when an accountant prepares the figures. It is worth separating this from the company’s other filings. A Corporation Tax Return such as a CT600 is submitted to HMRC, not Companies House, and the first Corporation Tax accounting period does not always match the statutory accounts period. A confirmation statement is a different filing again, keeping the company’s register information up to date rather than reporting financial results. VAT Returns, where a company is registered, are separate too. Some newly incorporated companies qualify to report under the micro-entity framework, which allows a simplified format, with FRS 105 being the reporting standard that applies to qualifying micro-entity entities. Others fall under the small company regime, and some do not qualify for either. Eligibility depends on the company’s circumstances and the applicable thresholds for the accounting period in question, so it is assessed rather than assumed. If you are running a new limited company in Tewkesbury Glos and are unsure which framework applies, that is a sensible point to take advice.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

Need Help With First Year Accounts for Limited Company in Tewkesbury Glos?

Many directors incorporate a company and only then realise that the first set of statutory accounts comes with its own set of questions: how long the first accounting period runs, how much detail the accounts need, which accounting framework applies, and what actually has to be filed with Companies House. Micro Entity Accounts works with limited companies in Tewkesbury Glos on exactly that first filing, from tidying up the underlying accounting records through to preparing the accounts and supporting their submission where required. If your bookkeeping is incomplete, if you are unsure whether micro-entity or small company reporting is appropriate for your company, or if you simply want the first year handled properly before later periods build on it, professional support at this stage is a practical step rather than an unnecessary one.

They are the first set of statutory annual accounts a limited company prepares, covering its opening accounting period. That period generally runs from the date of incorporation to the company's first accounting reference date. The accounts are built from the company's accounting records and usually include a balance sheet, a profit and loss account where applicable, and any notes required by the applicable reporting framework. Where required, the accounts are filed with Companies House, and the directors remain responsible for ensuring the company meets that obligation.

The due date depends on the company's incorporation date and accounting reference date, so it is not the same for every company. Companies House treats a company's first accounts differently from later years' accounts, which is one reason it is worth checking your company's specific position rather than working from a general assumption. If your company is based in Tewkesbury Glos and you are unsure which date applies to you, we can review the company's details with you and confirm what needs to be filed and when.

It depends on what the company has actually done, but the starting point is a complete and accurate set of accounting records. That might include bank statements and transactions, sales and income records, purchase invoices and expense receipts, details of asset purchases, share capital information, director loan transactions, and any loans or finance arrangements. Where the company runs payroll or is VAT registered, the relevant payroll and VAT records are needed as well. Companies with limited activity may hold far fewer records, and that is fine, as long as what exists is complete.

A company can still have statutory filing obligations even where activity has been minimal or trading has not started. Whether a company can file accounts in a dormant or simplified form depends on its circumstances and the applicable rules, and a company should not be described as dormant automatically just because there have been few or no transactions. The correct approach is to look at what has actually happened in the period and then determine the reporting position.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. The two serve different purposes and go to different places. Filing your accounts does not submit a CT600, and filing a CT600 does not complete your Companies House accounts filing. The figures in the accounts are often used as a starting point when preparing the company's Corporation Tax position, but the first Corporation Tax accounting period and the statutory accounts period may not necessarily be identical.

It may, but qualification is not automatic. Eligibility for the micro-entity framework depends on the company meeting the applicable criteria for the relevant accounting period, and FRS 105 is the financial reporting standard used by entities that qualify and choose that framework. A company that does not meet the criteria may instead fall within the small company regime, or may need to report under a fuller framework. We look at each company's circumstances before deciding which basis of preparation is appropriate.

No, they are separate filings with different purposes. First-year statutory accounts report the company's financial position and performance for its opening period, while a confirmation statement confirms that the information held at Companies House about the company, such as its directors, registered office and share information, remains correct. A company may need to file both, and keeping the register information up to date is a continuing obligation rather than something the accounts deal with.

If required accounts are not delivered by the applicable deadline, Companies House consequences can follow, and the outcome is not identical in every case. Paying any penalty that arises does not remove the requirement to file the outstanding accounts, so the priority is always to get the filing completed. Where a penalty has been issued, whether an appeal is available depends on the circumstances and the applicable rules. If you are behind with a first-year filing, get in touch and we can look at the position with you.
