What Are First Year Accounts for a Micro Company? A Guide for New Limited Companies in Stratford-upon-Avon

First-year accounts — often referred to as first statutory accounts or first year company accounts — are the first set of annual accounts a limited company prepares for its initial accounting period. They cover the period from incorporation, or from the point at which the company’s reporting period begins under the applicable rules, through to its accounting reference date. In most cases the accounts include a balance sheet as at the period end and, where the applicable framework requires it, a profit and loss account, together with any notes and disclosures the framework calls for. Statutory accounts of this kind are generally delivered to Companies House where required. The first accounting period is not always twelve months long. Companies House sets a default accounting reference date when a company is incorporated, so a company’s initial reporting period can run for more or less than a year depending on the incorporation date and those dates should always be checked on the company record rather than assumed. Directors’ responsibilities sit alongside this: the directors remain responsible for keeping adequate accounting records, for ensuring the accounts are prepared in accordance with the applicable framework and for making sure the company meets its statutory obligations, even where an accountant has been engaged to assist. Some newly incorporated companies may qualify to report under the micro-entity framework, and FRS 105 is the financial reporting standard applicable to qualifying entities using that framework. This is not automatic. Eligibility depends on the company’s circumstances and the conditions that apply for the relevant accounting period, and a company with modest or low turnover is not automatically eligible. A confirmation statement is a further and separate Companies House filing that keeps the company’s recorded details up to date. There is no single answer that fits every company. The filing date depends on the incorporation date, the accounting reference date set by Companies House and the length of the first accounting period, which is not always twelve months. Companies House records the relevant dates for each company, so those dates should be checked rather than assumed. We can help you confirm what applies to your company and work back from the applicable deadline.

It varies with the company's activity, but commonly useful records include bank statements and transactions, sales invoices and income records, purchase invoices and business expenses, details of any assets purchased, movements on the director's loan account, share capital information, loans or finance agreements, and supporting documents for any other transactions. Where the company operates payroll or is VAT registered, the relevant payroll and VAT records are helpful too. Not every company will have all of these — the records needed depend on what the company has actually done.

Where required, first-year statutory accounts are delivered to Companies House for the company's accounting period. This is separate from the confirmation statement, which is a distinct annual filing that keeps the public register up to date, and separate from anything filed with HMRC. Companies House does not prepare the accounts and does not approve them regulatorily or professionally — it receives the filed information.

No. Statutory accounts go to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. Information from the accounts may be used when working out the Corporation Tax position, and the first Corporation Tax accounting period may not line up exactly with the statutory accounts period. Filing one does not complete the other.

A company can still have statutory filing obligations even where it has had limited activity or has not yet commenced trading. Whether it can be treated as dormant for reporting purposes depends on its circumstances and the applicable rules, not simply on the absence of sales. A period with no significant accounting transactions should be reviewed on its facts rather than automatically labelled dormant, and the appropriate filing can then be prepared.

It may be able to, but not automatically. The micro-entity framework, and FRS 105 as the standard applicable to qualifying entities using it, depends on meeting the eligibility conditions for the relevant accounting period. Low turnover alone does not guarantee eligibility, and a startup is not automatically a micro-entity. Where the framework does not apply, small-company or full reporting may be appropriate instead.

Missing the applicable filing date can lead to Companies House consequences, which are not identical in every case. Paying any penalty does not remove the requirement to file the outstanding accounts, and appeals are only possible in certain circumstances depending on the facts and the applicable rules. If your accounts are already overdue, it is usually better to address the position early rather than wait.
