First Year Accounts for Limited Company in Stockwood: Professional Preparation and Filing Support

Starting out with a new limited company in Stockwood brings plenty of decisions, and first-year statutory accounts are one of the compliance tasks that can raise questions early. Our First Year Accounts for Limited Company service helps directors prepare the first set of accounts for the initial accounting period, reviewing the accounting records available and bringing the figures together into the required statutory format. Where the company is required to file accounts with Companies House, we can assist with that filing. If the company also has Corporation Tax obligations, these are separate from the Companies House filing; a CT600 or other Corporation Tax Return is submitted to HMRC where applicable. We do not assume every new company has traded, made sales or generated a profit, so the scope of support is shaped around the company’s actual circumstances, activity and reporting framework.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company and When Might a New Limited Company in Stockwood Qualify?

First-year accounts are the first set of statutory accounts a newly incorporated limited company prepares for its initial accounting period. They are not optional simply because the company is new, and they are not the same as a Corporation Tax Return or a confirmation statement. The first accounting period generally begins on incorporation or another applicable start date and ends on the company’s first accounting reference date. It may not always be a standard 12-month period, and the exact dates depend on the company’s incorporation date, accounting reference date and any changes made to it. For Companies House, statutory accounts are generally filed where required, using the company’s accounting information and the applicable reporting framework. Some companies may qualify as micro-entities or small companies if they meet the eligibility conditions for the relevant period, but this is assessed separately; not every new limited company is a micro-entity and FRS 105 does not automatically apply to all new companies. A company may also have separate Corporation Tax duties, such as preparing a CT600 for HMRC where applicable, and it may need to submit confirmation statements and keep other Companies House information up to date. Accurate accounting records, including bank transactions, sales records, expenses, asset purchases, director transactions and share capital details where relevant, help the accounts preparation process. Directors remain responsible for the company’s statutory obligations, even where an accountant assists with preparing and filing the accounts.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

First-year accounts are the first set of statutory annual accounts a limited company prepares for its initial accounting period after incorporation or commencement of the relevant reporting period. They summarise the company's financial position and performance in the format required by the applicable reporting framework, which may include a balance sheet and a profit and loss account where relevant. They are different from a Corporation Tax Return and from a confirmation statement.

In most cases, a newly incorporated limited company has a statutory accounts filing obligation, and first-year accounts are generally delivered to Companies House where required. The filing requirement is not automatically removed just because the company has had little activity or has not yet started trading. The exact position depends on the company's circumstances and applicable rules, including whether it is dormant for Companies House purposes, so it is worth checking before assuming no filing is needed.

The due date is linked to the company's incorporation date, accounting reference date and first accounting period, together with the relevant Companies House filing requirements. Because the first accounting period can differ from later 12-month periods, and because an accounting reference date can sometimes be changed, the deadline is not necessarily the same for every company. We can help confirm the period covered and the filing position based on the company's own dates.

Typical information may include bank statements and transactions, sales income records, purchase invoices, expense receipts, asset purchases, director loan or expense details, share capital information, payroll records where applicable, VAT records where applicable and any other supporting documents. Not every company will have all of these records, especially if it has had limited activity. The accounts can only be prepared accurately from the information available, so good bookkeeping records make the process more straightforward.

No. First-year statutory accounts are prepared for the company's reporting obligations and are generally filed with Companies House where required. A Corporation Tax Return, such as a CT600, is a separate submission made to HMRC where applicable. The figures in the accounts may help inform the Corporation Tax position, but the two filings serve different purposes and go to different authorities. Filing accounts with Companies House does not itself submit a CT600 to HMRC.

Some newly incorporated companies may qualify for the micro-entity reporting framework if they meet the applicable eligibility conditions for the relevant accounting period. Qualifying is not automatic, and a company is not treated as a micro-entity simply because it is new or small. Where micro-entity accounts are appropriate, FRS 105 is the financial reporting standard applicable to qualifying entities using that framework. The correct framework should be confirmed from the company's circumstances and the rules for the period.

No. First-year accounts and a confirmation statement are separate Companies House requirements. The accounts deal with the company's statutory financial reporting, while the confirmation statement is used to confirm specified company information, such as officers, shareholders and registered office details, where a confirmation statement is due. Filing first-year accounts does not remove the need to submit a confirmation statement when one is required.

If required first-year accounts are filed after the applicable deadline, Companies House consequences can follow. The outcome depends on the circumstances and the applicable rules, and paying any penalty does not remove the need to file the outstanding accounts. If a company is late or expects to be late, it should seek advice promptly. Professional support can assist with preparing the outstanding accounts and reviewing whether any appeal route may be available, but eligibility for an appeal depends on the specific facts.
