What Are First Year Accounts for a Micro Company, and When Does That Framework Apply?

First year accounts are the first set of statutory annual accounts a limited company prepares for its initial accounting period. For a newly incorporated company, that period usually starts on the date of incorporation and ends on the company’s first accounting reference date, although the exact position depends on the incorporation date, the accounting reference date and how the company’s trading activity has developed. The length of a first accounting period can differ from later periods, which is one reason first year accounts are often treated as a separate exercise rather than simply a repeat of the annual process. These accounts are a statutory requirement rather than an optional document. A company may still have filing obligations even where it has had limited activity or has not yet commenced trading, and directors should not assume that a quiet first period removes the need to prepare and file anything. Where a company has had no significant accounting transactions, its reporting position depends on its specific circumstances and the applicable rules; a dormant position is not something to assume automatically. This is also where the micro-entity framework may come into play. Some companies qualify as micro-entities and can prepare accounts under the simplified micro-entity regime, with FRS 105 being the financial reporting standard applicable to qualifying entities using that framework. They are prepared from the company's accounting records and are delivered to Companies House where required.

There is no single answer, because the deadline depends on your company's incorporation date and its accounting reference date. Companies House sets the first accounting reference date automatically when a company is incorporated, and the first accounts period can be longer or shorter than the twelve months that later periods normally cover. Before the filing date is confirmed for your company, it is worth checking the specific dates attached to your own incorporation. We can review those dates with you and explain what applies to your circumstances.

It depends on what the company has been doing. Typical items include bank statements and transaction listings, sales and income records, business expense receipts and purchase invoices, details of any assets bought, share capital information, director transactions or loans, and any finance agreements. Where the company runs payroll or is VAT registered, those records are relevant too.
