First Year Accounts for Limited Company in Presteigne — Prepared Properly, Filed Correctly

The first set of statutory accounts is a milestone every newly incorporated limited company has to plan for, and it rarely lands at a convenient moment. Micro Entity Accounts supports directors in Presteigne with First Year Accounts for Limited Company obligations: reviewing the accounting records, preparing the balance sheet and profit and loss account where applicable, and delivering the accounts to Companies House where required. We also explain how the incorporation date and accounting reference date shape the first accounting period, and why a Corporation Tax Return such as a CT600 is a separate submission made to HMRC rather than to Companies House. If you would rather not work through the reporting framework on your own, professional preparation helps keep the figures consistent and the filing in order.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new. Once a company is incorporated, it has a reporting obligation to Companies House, and the first accounts normally cover the period running from incorporation to the company’s first accounting reference date — though the exact period depends on the company’s own incorporation date and accounting reference date rather than a fixed rule that applies to everyone. Where an eligible company meets the relevant criteria, it may be able to prepare accounts under the micro-entity framework, and FRS 105 is the financial reporting standard that applies to qualifying entities using that framework. Eligibility is assessed for the relevant accounting period, so it is worth checking rather than assuming, and a newly incorporated company is not automatically a micro-entity. Small-company reporting may be available in other circumstances too, depending on the company’s position. Prepare, review, file — three separate steps that directors sometimes treat as one. The accounts themselves are drafted from the company’s accounting records: bank transactions, sales and income records, expense and purchase invoices, asset purchases, director transactions, share capital details, loans and finance, plus payroll or VAT records where those apply. The prepared accounts are then approved by the directors, and the statutory accounts are delivered to Companies House where required. Companies House does not prepare the accounts, and it does not professionally approve or verify them. First-year statutory accounts are also distinct from other compliance tasks. A confirmation statement is a separate filing that keeps the company’s registered information up to date, and it is not replaced by submitting accounts. A Corporation Tax Return, such as a CT600, is submitted to HMRC rather than Companies House, and the company’s first Corporation Tax accounting period may not be identical to its statutory accounts period. Filing accounts does not automatically complete the company’s Corporation Tax, confirmation statement or VAT obligations. Directors in Presteigne remain responsible for ensuring the company meets its filing obligations, even when an accountant is engaged. Professional support covers the preparation, review and filing work — it does not transfer that legal responsibility away from the board.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Get Your First Year Accounts for Limited Company in Presteigne Prepared Accurately

Most directors of newly incorporated companies can produce a bank statement and a folder of receipts, but knowing which figures belong on the balance sheet, which reporting framework applies and what has to reach Companies House is a different matter. Micro Entity Accounts prepares first-year statutory accounts for limited companies, reviews the accounting records behind them and supports the filing process where it is required. If your first accounting period is approaching, or you are unsure whether your company qualifies for micro-entity reporting, it is worth having the position reviewed before the accounts are due rather than afterwards — a short conversation now is far easier than correcting figures later.

They are the first set of annual statutory accounts a company prepares for its initial accounting period, covering the period from incorporation through to its first accounting reference date. They normally include a balance sheet and, where applicable, a profit and loss account, and they are prepared from the company's accounting records. The directors approve the accounts before they are filed, and the statutory accounts are delivered to Companies House where required.

The deadline depends on the company's incorporation date and its accounting reference date, which is why a newly incorporated company should not assume its first filing date matches another company's. There is no single answer that applies to every new limited company. Companies House publishes the applicable requirements, and we can help you work out which period and deadline apply to your company specifically.

It depends on what the company has actually done. Typical records include bank transactions, sales and income records, business expense and purchase invoices, asset purchases, share capital information, director transactions and any loans or finance arrangements. Where the company runs payroll or is VAT registered, those records are relevant too. Companies with limited activity will naturally have fewer records to provide, but the statutory filing position still needs to be considered.

A newly incorporated company generally has a statutory accounts filing obligation, even if trading has not yet started or activity has been minimal. Filing those accounts does not replace a confirmation statement, which is a separate submission, and it does not submit a Corporation Tax Return to HMRC. The accounts go to Companies House where required; the CT600 goes to HMRC where applicable.

A company with no significant accounting transactions may still have filing obligations, and its reporting position depends on its circumstances and the applicable rules rather than being automatically treated as dormant. If a company has genuinely never traded and meets the relevant conditions, a different route may be available. Directors in Presteigne are best advised to confirm their position rather than assume no filing is required.

No. Statutory accounts are prepared for the company's members and filed with Companies House where required. A Corporation Tax Return, such as a CT600, is submitted separately to HMRC. Information from the accounts may be used when preparing the company's Corporation Tax position, but the two filings have different purposes and different destinations, and completing one does not complete the other.

Some companies may qualify for simplified reporting as micro-entities if they meet the eligibility requirements for the relevant accounting period, and FRS 105 is the standard applicable to qualifying entities using that framework. It is not automatic — a new company is not a micro-entity simply because it has just been incorporated, and low activity alone does not settle the question. Eligibility should be checked against the company's circumstances before the accounts are prepared.

Failing to file required accounts by the applicable deadline can lead to Companies House consequences, and the outcome is not identical in every case. Paying any penalty does not remove the requirement to file the outstanding accounts. If accounts are already overdue, the priority is usually to prepare and file them, and to consider whether an appeal is appropriate — eligibility for that depends on the circumstances and the applicable rules.
