First Year Accounts for Limited Company in Port Talbot — Professional Preparation and Filing Support

Your company’s first set of statutory accounts is one of the earliest formal milestones after incorporation, and it is easy to underestimate how much sits behind it. Whether you have just formed a company in Port Talbot or have been trading for a few months and your first accounting period is drawing to a close, Micro Entity Accounts can help you prepare First Year Accounts for Limited Company reporting that properly reflect what happened in the business. We start by reviewing your accounting records — bank transactions, sales and income, purchase invoices, asset purchases, share capital details and director transactions — and use them to build the figures that go into the accounts. From there we prepare the balance sheet, the profit and loss account where applicable and the supporting notes, then file the accounts with Companies House where required. It is worth being clear about what this does and does not cover. Filing statutory accounts with Companies House is a separate requirement from a Corporation Tax Return such as a CT600, which is submitted to HMRC where applicable, and a confirmation statement is separate again. We can support you across all of these where they apply, but they are distinct obligations with different destinations. If your first accounting period has ended or is approaching, having the accounts prepared accurately from the outset makes later years considerably easier to manage.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Does Your Port Talbot Limited Company Qualify?

First year accounts are the first set of annual statutory accounts that a limited company prepares, covering the period from incorporation through to its first accounting reference date. Every UK limited company has an accounting reference date, and the first one is normally set when the company is incorporated — in most cases falling at the end of the month in which the first anniversary of incorporation occurs, although this can vary, and Companies House holds the applicable date for each company. Those first accounts are not optional, and they are not a formality that can be set aside because the company is new or quiet. Where a company is required to deliver accounts to Companies House, it must do so for its first financial period just as it will for later years. The filing date is calculated from the company’s incorporation date and accounting reference date, and a first set of accounts generally has a longer filing window than subsequent years. We confirm the deadline that applies to your company before work begins rather than assuming one date fits everyone. Preparing the accounts usually involves pulling together the company’s accounting records — bank transactions, sales and other income, business expenses, purchase invoices, asset purchases, share capital information, and any loans or director transactions — and using them to produce a balance sheet, a profit and loss account where applicable, and the notes required by the reporting framework in use. Some companies qualify to report as micro-entities, a simplified framework, and FRS 105 is the financial reporting standard applicable to qualifying entities using it. Qualification depends on meeting the eligibility requirements for the relevant accounting period, so it is assessed rather than assumed: a newly incorporated company in Port Talbot does not automatically qualify. It also helps to separate the moving parts. Statutory accounts are delivered to Companies House where required. A Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and the company’s first Corporation Tax accounting period does not always match its statutory accounts period. A confirmation statement is a separate filing again. Directors often assume these obligations are one exercise; they are related, but they are not the same thing.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

Get Your First Year Accounts for Limited Company in Port Talbot Prepared Correctly From the Start

If your first accounting period is coming to an end and you are unsure what needs to go where, you are not alone — most directors form a company without ever having prepared a set of statutory accounts before. The questions tend to be practical: which records actually matter, what belongs on the balance sheet, whether the company can use micro-entity reporting, and what genuinely has to be sent to Companies House. Micro Entity Accounts works with newly incorporated and newly trading limited companies in Port Talbot on exactly this. We review your accounting records, prepare your first statutory accounts, and file them with Companies House where required, while keeping the separate HMRC position — including any CT600 obligations — clearly in view. Directors remain responsible for the company’s filing obligations, so it matters that you understand the accounts you are approving rather than simply signing them. If you would rather have your first set of accounts prepared properly the first time, with transparent fees and a clear explanation of each step, speak to us about your company’s circumstances.

First year accounts are the first set of statutory annual accounts a limited company prepares for its initial accounting period. They are built from the company's accounting records and typically include a balance sheet, a profit and loss account where applicable and supporting notes. Once prepared and approved by the directors, they are filed with Companies House where required. This is a statutory obligation rather than an optional exercise, even for a company that has only recently been incorporated.

The deadline is not identical for every company. It is calculated from the company's incorporation date and its accounting reference date, and Companies House records the applicable date for each company. A first set of accounts usually has a longer filing window than accounts for later years, but the precise date depends on the company's own dates rather than a general rule of thumb. If you are unsure, we can confirm the deadline that applies to your company before any work begins.

Broadly, the records that support the figures: bank statements and transactions, sales and other income records, business expenses and purchase invoices, details of any assets bought or sold, share capital information, any loans or amounts owed to or from directors, and payroll or VAT records where the company has them. A company with limited activity will need less. We will tell you what is genuinely relevant to your circumstances rather than asking for everything indiscriminately.

It may still have filing obligations. Those obligations are not switched off simply because a company has not commenced trading or has had limited activity. Whether accounts must be filed, and what they should contain, depends on the company's circumstances and the applicable rules, including whether it meets the conditions to be treated as dormant. A company with no significant accounting transactions is not automatically dormant, and assuming otherwise can create problems later. It is worth confirming the position before deciding nothing needs to be filed.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. They are separate filings with different purposes and different destinations, and completing one does not complete the other. The figures in the accounts are often a starting point when preparing the company's Corporation Tax position, and the company's first Corporation Tax accounting period may not be identical to the period covered by the statutory accounts.

No. A confirmation statement is a separate Companies House filing that confirms the company's registered details are correct. It is not part of the statutory accounts, and filing the accounts does not satisfy the confirmation statement requirement, just as filing a confirmation statement does not satisfy the accounts requirement. A newly incorporated company may still need to keep its Companies House information up to date and submit confirmation statements as they fall due.

Some companies can, but not all. Micro-entity reporting is a simplified framework available to companies that meet the eligibility requirements for the relevant accounting period, generally assessed against turnover, balance sheet total and employee numbers. FRS 105 is the financial reporting standard applicable to qualifying entities using that framework. A newly incorporated company is not automatically a micro-entity, and it is not simply a question of low turnover. Eligibility should be checked against the company's circumstances for the period in question.

Where required accounts are delivered after the applicable deadline, Companies House can take action, which may include a late filing penalty. The consequences are not identical in every case and depend on the circumstances and how overdue the accounts are. Paying a penalty does not remove the obligation to file the outstanding accounts. If accounts are already overdue, the priority is usually to get them prepared and filed as quickly as the records allow, and to consider whether an appeal is appropriate for the particular circumstances.
