First Year Accounts for Limited Company in Pershore, Prepared and Filed by Micro Entity Accounts

Every newly incorporated limited company eventually faces its first set of statutory accounts, and that opening accounting period rarely looks the same as the years that follow. Micro Entity Accounts helps directors in Pershore work out what is required, prepare the figures properly and deliver the accounts to Companies House where the company is required to file. We start by reviewing the accounting records you hold — bank transactions, sales and income records, purchase invoices, asset purchases and any director transactions — and use that information to build the balance sheet and, where the applicable framework requires it, the profit and loss account. If the company also has Corporation Tax obligations, the same figures will often inform the CT600, but that is a separate submission to HMRC with its own rules and timescales, and it does not replace the Companies House accounts filing.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts, and Could Your Pershore Limited Company Use the Micro-Entity Framework?

First-year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period, covering the time from incorporation through to the company’s first accounting reference date. They are not optional simply because the company is new, and they cannot be set aside because trading has been limited or has not yet started. Where the company is required to file, those accounts are delivered to Companies House, and the directors remain responsible for making sure that happens. The length of the first accounting period is determined by the company’s incorporation date and accounting reference date. It often runs for longer than twelve months, although that is not true of every company, and the exact dates depend on the company’s own circumstances and whether its accounting reference date has been changed. The accounts themselves normally include a balance sheet, with a profit and loss account and supporting notes included where the reporting framework applicable to the company requires them. A limited company that meets the relevant eligibility conditions for the period may be able to use the micro-entity accounting framework, with FRS 105 as the standard that applies to qualifying entities reporting under it. Eligibility depends on the company’s circumstances and the requirements in force for that accounting period, so a newly incorporated company should not assume it qualifies automatically. Companies that do not meet those conditions prepare accounts under a different framework, and the correct route is worth confirming rather than guessing. It also helps to keep the separate compliance obligations clearly apart. First-year statutory accounts are not the same as a Corporation Tax Return such as a CT600, which is submitted to HMRC where the company has Corporation Tax obligations, and they are not the same as a confirmation statement, which confirms the company’s registered details at Companies House. A company may need to deal with several of these in the same period, and the dates and requirements attached to each can differ.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

It is common for a newly appointed director in Pershore to be unsure whether the first set of accounts needs to be filed, which records should be handed over, or which reporting framework actually applies. Micro Entity Accounts can talk those points through with you, prepare the statutory accounts from the information you provide, and support the filing with Companies House where required — with clear pricing, a straightforward process and no hidden costs. If your first accounting period is approaching, getting the preparation right from the outset is far simpler than untangling it later.

They are the first set of annual statutory accounts a company prepares for its initial accounting period. They usually include a balance sheet and, where the applicable reporting framework requires it, a profit and loss account together with supporting notes. The period covered generally begins on the incorporation date and ends on the company's first accounting reference date, although the length of that opening period varies between companies.

The due date is calculated from the company's own incorporation date and accounting reference date, so it is not identical for every limited company. The method used to work out the first filing date also differs from the one applied in later years. Because the deadline flows from your company's specific dates, it is worth confirming the position rather than assuming — we can help directors in Pershore check what applies to their company.

Usually we ask for bank statements and transaction records, sales and income records, purchase invoices and expense receipts, details of any assets bought or sold, share capital information, and any loans or transactions between the company and its directors. Payroll and VAT records are relevant where those apply. A newly incorporated company with limited activity may have very little to provide, while a company that has been trading will have more. The more complete the records, the smoother the preparation.

In most cases, yes. A UK limited company is generally required to prepare and file statutory accounts with Companies House for each financial year, including its first, even where trading has not begun or activity has been minimal. The reporting position for a company with no significant accounting transactions depends on its circumstances and the applicable rules rather than being automatically treated as dormant, so it is worth taking advice before deciding nothing needs to be filed.

No. The statutory accounts filed at Companies House and a Corporation Tax Return such as a CT600 are separate documents with separate purposes and separate destinations. The CT600 is submitted to HMRC where the company has Corporation Tax obligations, while the accounts are delivered to Companies House where required. The figures from the accounts often feed into the tax return, but filing one does not complete the other, and a company's first Corporation Tax accounting period may not be identical to its statutory accounts period.

Some newly incorporated companies do qualify, but not all of them, and low turnover alone is not the test. The micro-entity framework, together with FRS 105 as the standard applicable to qualifying entities using it, is available to companies that meet the applicable eligibility conditions for the accounting period in question. Those conditions are assessed on the company's own circumstances, so we review the position before confirming which framework fits.

No, they are separate requirements. A confirmation statement is a Companies House filing that confirms the company's registered information — such as its directors, registered office and shareholders — is up to date. First-year statutory accounts report the company's financial position for its first accounting period. Filing one does not satisfy the other, and a company may need to deal with both within the same period.

Where accounts are not delivered by the applicable deadline, Companies House can take action and late filing consequences apply. Those consequences are not the same in every situation and depend on factors such as how late the accounts are and the company's filing history. Paying any penalty does not remove the obligation to file the outstanding accounts. If a director believes there is a valid reason for the delay, whether an appeal is available depends on the circumstances and the applicable rules, so it is best to seek advice early.
