First Year Accounts for Limited Company in Oulton — Prepared, Reviewed and Filed

The first set of statutory accounts is one of the earliest compliance tasks a newly incorporated company faces, and getting it right sets the tone for everything that follows. If your company is based in Oulton, we can take the information from your accounting records, prepare the statutory accounts for the first accounting period, and file them with Companies House where required. We will also take the time to explain what the figures show, so the balance sheet and any profit and loss information make sense before anything is submitted. Corporation Tax is a separate matter entirely: a limited company may also need to prepare a CT600 for HMRC, and delivering accounts to Companies House does not complete that. Whether you incorporated recently and have been trading for months, or have only just begun, professional support helps you meet the first-year requirements with fewer surprises.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Limited Company, and When Do Micro-Entity Rules Apply?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period usually begins on the date of incorporation and ends on the company’s first accounting reference date, although it can be shortened or adjusted in certain circumstances. The accounts normally include a balance sheet and, where the applicable reporting framework calls for it, a profit and loss account together with supporting notes. Directors are responsible for ensuring the accounts are prepared and filed, even when an accountant handles the practical work on the company’s behalf. Some companies are eligible to report under the micro-entity framework and may prepare accounts under FRS 105, which is the financial reporting standard applicable to qualifying entities using that framework. Eligibility is not automatic and does not follow from being new, small or lightly traded — it depends on the conditions that apply for the relevant accounting period. Where a company does not qualify for micro-entity treatment, a small-company framework or full accounts may be the appropriate route, and that decision should be made after reviewing the company’s circumstances. It is important to keep statutory accounts separate from other filings. Accounts are delivered to Companies House where required, whereas a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations — and the first Corporation Tax accounting period is not necessarily identical to the statutory accounts period. A confirmation statement is a further, separate filing that confirms the company’s details at Companies House. Maintaining accurate accounting records throughout the year makes each of these tasks considerably easier.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

Get Your First Year Accounts for Limited Company in Oulton in Order

Many directors in Oulton only start thinking about first-year accounts once the filing window is already closing in, by which point the records may be incomplete or the correct reporting framework still unclear. Micro Entity Accounts can help you get ahead of that. We review what you have, prepare the statutory accounts for the period, talk you through the balance sheet and profit and loss position in straightforward language, and file the accounts with Companies House where required. If your company also has Corporation Tax obligations, we can explain how the CT600 sits alongside the accounts filing, since these are separate submissions to separate bodies with their own purposes. Clear pricing, transparent fees and no hidden costs — and answers to the questions new directors genuinely ask.

They are the first set of annual statutory accounts a company prepares, covering its initial accounting period. That period normally runs from the date of incorporation to the company's first accounting reference date, although it can be adjusted in certain circumstances. The accounts show the company's financial position at the period end through a balance sheet and, where the applicable framework requires it, a profit and loss account with notes. Preparing them is a statutory obligation for limited companies, and they are generally filed with Companies House where required.

The deadline depends on your company's accounting reference date and the rules that apply to a first set of accounts, which generally allow a longer period than for later years. It is not identical for every company, so the practical approach is to check the date recorded at Companies House shortly after incorporation and diarise it. We can confirm the position for your company and work back from that date when planning preparation and review.

Typically bank statements and transactions, sales and income records, purchase invoices and business expenses, details of any assets purchased, share capital information, director transactions, and any loans or finance arrangements. Where the company runs payroll or is VAT registered, those records feed into the figures too. Not every company will have all of these, and a company with limited activity still needs a clear, complete record of what has actually happened during the period.

Yes — a limited company generally has a statutory accounts filing obligation, even where trading has been limited or has not yet commenced. Whether a company is treated as dormant for filing purposes depends on its circumstances and the applicable rules, so a company with no significant accounting transactions should not simply assume there is nothing to prepare. Directors remain responsible for ensuring the correct filings are made.

No. Statutory accounts are prepared for the company's members and delivered to Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC where the company has Corporation Tax obligations. The figures in the accounts often inform the tax return, but the two filings serve different purposes, go to different bodies, and may cover different periods. Completing one does not complete the other.

Some companies do qualify, but not all, and being newly incorporated is not the test on its own. Micro-entity eligibility depends on the conditions that apply for the relevant accounting period, and qualifying entities may prepare accounts under FRS 105. Where a company does not qualify, a small-company framework or full accounts may be more appropriate. We review the position before deciding which reporting framework to use.

Yes, where applicable. A confirmation statement is a separate filing that confirms the company's details at Companies House, such as its directors, registered office and share information. It does not replace the statutory accounts, and filing accounts does not satisfy the confirmation statement requirement. Many directors in Oulton deal with both as part of the same annual routine, alongside keeping the company's registered details up to date.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, which may include penalties and further action if the accounts remain outstanding. Penalties are not automatically waived, and paying a penalty does not remove the requirement to file the accounts. If your accounts are already overdue, completing and submitting them is usually the priority, and whether a penalty appeal is possible depends on the circumstances and the applicable rules.
