First Year Accounts for Limited Company in Lanchester: Professional Preparation and Filing Support

Micro Entity Accounts prepares First Year Accounts for Limited Company directors in Lanchester, working from your own accounting records to produce a set of statutory accounts that reflects what actually happened in the company’s first period. For a newly incorporated company, the first set is usually the least familiar: the accounting period runs from incorporation to the first accounting reference date, the format depends on which reporting framework the company is eligible for, and the accounts generally need to be delivered to Companies House where required. We review the records you hold, flag anything missing or unclear, prepare the balance sheet and, where applicable, the profit and loss account, and handle the filing. If the company also has Corporation Tax obligations, the information behind the accounts can support a CT600, but that return is submitted separately to HMRC — it is not the same filing as your Companies House accounts.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and What Do They Involve for a Lanchester Limited Company?

First year accounts are the first set of annual statutory accounts a limited company prepares after incorporation. They cover the company’s initial accounting period, which generally starts on the incorporation date and ends on the first accounting reference date. That period does not always run for exactly twelve months — some companies’ first periods are slightly longer, others shorter — so the dates recorded for your company determine what the accounts must cover and when they are due. Those accounts are statutory accounts, and they are generally delivered to Companies House where required. It is worth separating the various obligations, because they are often confused. Statutory accounts prepared for Companies House are not the same thing as a Corporation Tax Return. A company that is within the charge to Corporation Tax may need to submit a CT600 to HMRC, and that return is prepared for HMRC, not for Companies House. The company’s first Corporation Tax accounting period may also differ from the period covered by its statutory accounts. A confirmation statement is separate again: it confirms the company’s registered information and does not replace the accounts, just as filing the accounts does not remove the need to keep Companies House records up to date. Some companies will be able to prepare simpler accounts under the micro-entity framework, with FRS 105 as the reporting standard that applies to qualifying entities using it. A company may qualify if it meets the eligibility conditions for the relevant accounting period, but that is a test to be applied rather than an assumption to make. A newly incorporated company with uncomplicated activity may well qualify; a company with more substantial turnover, a larger balance sheet, more employees or interests in other companies may not. The right framework should be confirmed period by period, and we can check the position for your company before anything is prepared.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

Need Help With First Year Accounts for Limited Company in Lanchester?

Newly incorporated companies often reach their first accounts deadline with the numbers in reasonable shape but the reporting side less clear. Directors ask the same sensible questions: is the micro-entity framework appropriate for us, what should the balance sheet look like in a first year, which records do we actually need to keep, and does filing with Companies House settle the tax side as well? Micro Entity Accounts can review your accounting records, prepare the first statutory accounts and manage the Companies House filing where required, with clear pricing and no hidden costs. Corporation Tax, where it applies, is handled as the separate HMRC matter it is. If the first set of accounts is approaching and you would rather have it prepared properly the first time, get in touch and we will set out what applies to your company.

They are the first set of annual statutory accounts a company prepares after incorporation, covering its initial accounting period. They generally include a balance sheet and, where applicable, a profit and loss account with supporting notes, prepared under whichever reporting framework the company is eligible for. Filing them with Companies House is normally required where the relevant filing conditions are met.

There is no single standard answer, because it depends on your incorporation date and your accounting reference date. The first accounting period is set from incorporation to the first accounting reference date, and the filing deadline follows from that period. It is worth confirming your company's specific dates early, since first periods do not all run for the same length of time.

Usually the accounting records for the period: bank transactions and statements, sales and other income, purchase invoices and business expenses, details of any assets bought or sold, share capital information, director loan movements, and any loan, finance or payroll records that apply. If the company is VAT registered, the VAT records can be useful too. Where records are incomplete, we can help work out what still needs to be gathered before the accounts are prepared.

In most cases, yes, where the company is required to file statutory accounts for the period. Being newly incorporated does not by itself remove the obligation, and neither does having traded only lightly or not yet having started trading. There are reporting routes for companies with no significant accounting transactions, but whether they apply depends on the company's circumstances and the applicable rules rather than being an automatic description.

No, they are separate. Statutory accounts go to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC. The figures in the accounts often inform the tax return, but the two have different purposes and different destinations, and completing one does not complete the other. The company's first Corporation Tax accounting period may not be identical to the period covered by its statutory accounts.

A company can still have reporting obligations even where activity has been minimal or trading has not yet begun. What needs to be filed depends on the company's own circumstances, so it is best not to assume nothing is due without checking. We can look at the position for your Lanchester company and explain what applies.

It may, if it meets the eligibility conditions for the relevant accounting period. The micro-entity framework, using FRS 105 for qualifying entities, allows a simpler set of accounts, but not every new company qualifies. Turnover, balance sheet size, employee numbers and the company's structure can all be relevant, so the framework should be confirmed for each period rather than assumed at incorporation.

Failing to file required accounts by the applicable deadline can lead to Companies House consequences, and the position is not identical in every case. Where penalties arise, they do not remove the obligation to file the outstanding accounts. If you are already overdue, it is sensible to deal with it promptly, and penalty appeals are possible in some circumstances depending on the reasons and the applicable rules. A confirmation statement is a separate obligation and is not affected by the accounts filing either way.
