First Year Accounts for Limited Company in Fleet

The first set of statutory accounts is a milestone for any newly incorporated company, and it often arrives sooner than directors expect. Micro Entity Accounts helps limited companies in Fleet prepare that first set of accounts properly — reviewing the accounting records, drafting the balance sheet and any profit and loss account where applicable, and delivering the accounts to Companies House where required. We also explain how the first accounting period works, how the accounting reference date affects the filing position, and why the company’s Corporation Tax Return, such as a CT600, is a separate submission made to HMRC rather than part of the Companies House filing. Directors stay responsible for the company’s obligations; we provide the practical accounting support to help meet them.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First year accounts are the first set of statutory accounts a newly incorporated limited company prepares for its initial accounting period. They are not optional simply because the company is new. Once a company is incorporated, it has statutory accounts obligations, and the first accounts normally cover the period from the date of incorporation to the company’s first accounting reference date — which is why the first accounting period is often longer than the twelve months used in later years. The accounts themselves are built from the company’s accounting records: bank and payment transactions, sales and income records, business expenses, purchase invoices, asset purchases, share capital information, director transactions and any loans or finance the company holds. Payroll and VAT records may also be relevant where the company has those arrangements in place. From that information, we prepare a balance sheet and, where applicable, a profit and loss account, along with the supporting notes and disclosures the chosen reporting framework requires. Some companies may qualify to report under the micro-entity framework, and FRS 105 is the financial reporting standard that applies to qualifying entities using it. That is not automatic. Eligibility depends on the company’s circumstances and the applicable thresholds for the relevant accounting period, and a company that does not qualify may instead fall within the small-company framework or prepare accounts under a fuller standard. We check the position before any accounts are drafted. It also helps to be clear about what first year accounts are not. They are separate from a Corporation Tax Return such as a CT600, which is submitted to HMRC rather than Companies House. They are separate from a confirmation statement, which is a Companies House filing confirming that the company’s registered details remain correct. Filing first year accounts does not complete a company’s Corporation Tax, confirmation statement, VAT or other obligations. Where accounts are required at Companies House, they are delivered there; the accounts figures may then be used as a starting point when preparing the company’s Corporation Tax position, but the two filings serve different purposes and go to different organisations.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

Get Your First Year Accounts Prepared and Filed With Confidence

If your company was incorporated recently, the paperwork around the first accounting period can feel unclear — which reporting framework applies, what records need to be in order, and what actually has to go to Companies House. Micro Entity Accounts works with newly incorporated companies and their directors on first-year accounts preparation, reviewing the accounting records, confirming the accounting period and accounting reference date, and supporting the Companies House filing where one is required. If you would rather have the first set of statutory accounts handled properly from the outset, professional support is a sensible place to start.

They are the first set of annual statutory accounts a company prepares for its initial accounting period, starting from the date of incorporation. They normally include a balance sheet, notes, and a profit and loss account where applicable, and they are delivered to Companies House where required. The reporting framework used depends on whether the company qualifies as a micro-entity or small company, or needs to report under a fuller standard.

The deadline is set by Companies House and depends on the company's incorporation date and its accounting reference date. Because the first accounting period is often longer than twelve months, the first filing deadline is not calculated in the same way as later years. We confirm the applicable date for your company rather than relying on a general rule of thumb, and we work to that date when preparing the accounts.

Usually the company's accounting records for the period: bank and payment transactions, sales and income records, purchase invoices, business expenses, details of any assets bought, share capital information, director transactions, and any loans or finance. Payroll records may be relevant if the company runs a payroll, and VAT records where the company is VAT registered. Not every company will have all of these, so we start by reviewing what exists.

A company generally still has statutory accounts obligations even where it has had limited or no activity, and the position should be assessed on the company's own circumstances rather than assumed. A company with no significant accounting transactions may not automatically be treated as dormant, and dormant status has its own conditions. Directors in Fleet often assume nothing needs to be done in the first year, so it is worth confirming the position early.

No. Statutory first year accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The figures from the accounts often feed into the tax computation, but filing one does not complete the other. It is also worth noting that a company's first Corporation Tax accounting period and its statutory accounts period are not always identical.

Some companies may qualify to report under the micro-entity framework if they meet the applicable eligibility requirements for the accounting period in question, with FRS 105 being the standard that applies to qualifying entities. It is not automatic for new companies, and low activity alone does not determine eligibility. We review the company's circumstances and confirm the appropriate framework before preparing anything.

No. They are separate filings with different purposes. A confirmation statement confirms that the company's information held at Companies House is up to date, while first year accounts report the company's financial position for the period. Filing accounts does not satisfy the confirmation statement requirement, and the two usually fall due at different points.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, and the outcome depends on the company's circumstances and the length of any delay. Paying a penalty does not remove the requirement to file the outstanding accounts. If accounts are already overdue, the priority is to get them prepared and delivered, and where an appeal is considered appropriate, eligibility depends on the rules and the facts of the case.
