What Are First Year Accounts for a Micro Company, and When Does That Framework Apply?

First-year accounts are the first set of statutory accounts a newly incorporated limited company prepares for its initial accounting period. That period normally begins on the date of incorporation and ends on the company’s first accounting reference date. It can be longer than a standard twelve-month period, and the exact dates depend on the incorporation date and the accounting reference date recorded at Companies House, so it is worth confirming both before any work begins. Once the period closes, the directors are responsible for making sure accounts are prepared and delivered to Companies House where required. This is a separate exercise from a Corporation Tax Return such as a CT600, which is submitted to HMRC where the company has Corporation Tax obligations. It is also separate from a confirmation statement, which confirms that the company’s registered details remain accurate and does not take the place of accounts filing. A company with very little activity, or none at all, does not automatically escape its filing duties. Whether a company is dormant, has not yet commenced trading, or has simply had minimal transactions is a question of fact and depends on the applicable rules — not on turnover alone. Some smaller companies are eligible to report under the micro-entity framework, which uses FRS 105. That framework can simplify what the accounts include, but eligibility is assessed against the requirements for the relevant accounting period and is not automatic for every newly incorporated company. The appropriate framework should be confirmed before accounts are drawn up.

The first accounting period can also be longer than a standard twelve-month period. The most reliable approach is to confirm the accounting reference date recorded at Companies House and check the company's own filing records rather than relying on an assumption.

It depends on what the company has done during the period. Commonly useful records include bank statements and transaction listings, sales invoices or income records, purchase invoices and expense receipts, details of any assets bought, share capital information, director loan movements, and payroll or VAT records where those apply.
