The accounts are prepared for the shareholders and are filed with Companies House where required. They may include a balance sheet, a profit and loss account where applicable, notes and supporting disclosures, and they sit alongside the directors' ongoing responsibilities for the company's records and filings.
The timing depends on your company's incorporation date and its accounting reference date, because the first accounting period starts at incorporation and ends on that reference date. Companies House then applies its own filing requirements, and the relevant deadline is based on the accounting reference date rather than on when the accounts were actually prepared. Because first periods vary in length, it is sensible to confirm your company's specific dates early instead of assuming they match a later financial year. It depends on what the company has done during the period, but typical records include bank transactions and statements, sales and income records, purchase invoices and receipts, details of any assets purchased, director transactions and any loans to or from the company, share capital information, and payroll or VAT records where those apply. Not every company will have all of these. The aim is simply to have a complete and accurate picture of the company's financial activity for the period, which is why tidy accounting records make the preparation process considerably smoother.

A recent incorporation does not remove that obligation, and having limited activity — or not having started trading yet — does not automatically mean there is nothing to file. A company with no significant accounting transactions may in some circumstances be able to file dormant company accounts, but whether that applies depends on the company's own position and the applicable rules rather than on the fact that it is new. Directors remain responsible for making sure the correct filing is made.

A Corporation Tax Return, such as a CT600, is submitted separately to HMRC where the company has Corporation Tax obligations. The figures in the accounts often provide useful starting information when working out the company's tax position, but filing accounts does not submit a CT600, and filing a CT600 does not complete the Companies House accounts filing.
Some newly incorporated companies may qualify for the micro-entity framework, but it is not automatic simply because a company is new, small or has low turnover. No. The confirmation statement is a separate filing that confirms the company's information held at Companies House, such as its registered office, directors, shareholders and share capital. Filing first-year statutory accounts does not replace it, and submitting a confirmation statement does not satisfy the accounts filing requirement. A company may need to deal with both, and keeping Companies House information up to date is part of the directors' ongoing responsibilities.
Failing to file required accounts by the applicable deadline can lead to Companies House consequences, which may include late filing penalties depending on how overdue the accounts are. The exact outcome varies with the circumstances, and paying a penalty does not remove the requirement to file the outstanding accounts. Where a penalty is issued, whether an appeal is possible depends on the specific situation and the applicable rules.
