First Year Accounts for Limited Company in Buckingham — Prepared, Reviewed and Filed

For a newly incorporated company in Buckingham, the first set of statutory accounts is a significant compliance milestone, and it is not always obvious what has to be prepared, which reporting framework applies, or where the finished accounts need to go. We prepare first-year statutory accounts from your accounting records, review the figures with you before anything is finalised, and file the accounts with Companies House where required. Where Corporation Tax applies, we can also help you understand how a CT600 submission to HMRC sits separately from the Companies House filing, so that the two obligations are dealt with on their own terms rather than being treated as one task.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Accounting reference date

First CT600 due

What Are First Year Accounts for a Micro Company — and Does Your Buckingham Limited Company Qualify?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period generally begins on the date of incorporation and ends on the company’s first accounting reference date, which Companies House assigns based on the incorporation date. Because of this, a company incorporated part-way through a calendar year rarely has a tidy twelve-month first period, and the length of that first period can differ from company to company. Every limited company has statutory accounts obligations, and those obligations are not optional simply because the company is new or has been quiet. Directors are responsible for maintaining adequate accounting records, and the completed accounts are normally delivered to Companies House where required. That filing is a registration exercise rather than an approval process — Companies House does not assess the quality of the accounting behind the figures, and engaging an accountant is a commercial arrangement between the company and its adviser. Where a company satisfies the eligibility conditions for the accounting period in question, it may be able to prepare accounts under the micro-entity framework. FRS 105 is the financial reporting standard that applies to qualifying entities using that framework and permits a simplified format. Eligibility is judged against the company’s own circumstances and the rules in force for the relevant period, so it should be confirmed rather than assumed. Companies that do not meet the micro-entity conditions may still fall within the small company regime, which carries its own requirements and disclosure expectations. It also helps to keep three separate obligations clearly in view. Statutory accounts go to Companies House where required. A Corporation Tax Return, such as a CT600, goes to HMRC and follows its own accounting period, which may not match the statutory accounts period exactly. A confirmation statement is a further annual filing confirming the company’s registered details. Completing one of these does not discharge the others, and each has its own purpose and destination.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Professional Preparation for Your First Year Accounts for Limited Company in Buckingham

The first accounting period tends to raise practical questions: which records need to be pulled together, whether the company should be reporting as a micro-entity or a small company, and what actually has to be sent to Companies House once the figures are agreed. Micro Entity Accounts works with directors of newly incorporated and newly trading limited companies on precisely these points, preparing first-year statutory accounts from the records you hold and explaining how the Companies House filing fits alongside any separate HMRC Corporation Tax requirements. If your first period is approaching, or the accounts are already sitting unfinished, having them prepared properly is a sensible next step — you can talk through your circumstances with us before anything is submitted.

They are the first set of annual statutory accounts covering the company's initial accounting period, which normally begins on the date of incorporation. They report the company's financial position and performance for that period, typically through a balance sheet and a profit and loss account where the applicable framework requires one, and they are prepared for the company's members and filed with Companies House where required. They are a different filing from the company's Corporation Tax Return.

The deadline depends on the company's accounting reference date and the rules in force at the time, so it is not identical for every company. Companies House generally allows a longer filing window for a company's first accounts than for later years, but the precise date should be confirmed from the company's own Companies House record rather than assumed. The accounting reference date is set when the company is incorporated, and a company can sometimes change it, which then affects the period the first accounts cover.

The accounts are built from the accounting records for the first period. In practice that usually means bank statements and transaction listings, sales and income records, purchase invoices and business expenses, details of any assets bought or sold, share capital information, director transactions or loans, and any finance arrangements. Where the company has run payroll or registered for VAT, those records feed in as well. Newly incorporated companies in Buckingham often have a lighter set of records than an established business, which is entirely normal — we work with what exists and let you know what still needs to be tracked down.

In many cases the company still has statutory filing obligations even where activity has been limited or trading has not yet commenced. Whether the company is treated as dormant, or simply files accounts showing minimal or no transactions, depends on its actual circumstances and the applicable rules — dormancy is not something to assume. It is worth confirming the position early, because ignoring the first accounting period on the basis that nothing happened can create avoidable complications later.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC. The figures from the accounts are often used as the starting point for the company's tax position, but the two filings serve different purposes, go to different authorities and have their own deadlines. Filing the accounts does not submit the CT600, and submitting the CT600 does not complete the Companies House accounts filing.

No, it is a separate filing. A confirmation statement confirms the company's registered information, such as its directors, registered office and share capital, and it is submitted to Companies House independently of the statutory accounts. Filing first-year accounts does not replace it, and a company may need to keep its confirmation statement up to date alongside its accounts obligations.

It can, but not automatically. Micro-entity status depends on meeting the eligibility conditions for the relevant accounting period, and a newly incorporated company should not be assumed to qualify purely because it is small or newly formed. Where a company does qualify, FRS 105 is the reporting standard that applies to the micro-entity framework and allows a simplified set of accounts. If it does not qualify, another framework such as the small company regime may be the appropriate choice.

Missing the applicable filing deadline can lead to consequences from Companies House, and the position can become more serious the longer the accounts remain outstanding. Paying any penalty does not remove the requirement to file — the outstanding accounts still have to be completed and delivered. If accounts are already overdue, the sensible priority is to prepare and file them as soon as possible. Where a company considers it has reasonable grounds for an appeal, eligibility depends on the circumstances and the applicable rules, and professional support can help you work through the available options.
