First Year Accounts for Limited Company in Armagh — Prepared, Reviewed and Filed With Professional Support

If you have recently incorporated a company and its first accounting period is coming to an end, the accounts you now need to prepare are not quite the same as the ones you will deal with in later years. Micro Entity Accounts supports newly incorporated and newly trading limited companies in Armagh with First Year Accounts for Limited Company purposes — from checking that your bookkeeping and accounting records are complete, through to preparing a balance sheet and profit and loss account where applicable, and delivering the accounts to Companies House where required. We will also help you work out which reporting framework your company should use, because micro-entity and small-company reporting depend on eligibility rather than simply being new. Where your company has Corporation Tax obligations, we can explain how those sit alongside the accounts, remembering that a CT600 is submitted separately to HMRC and is a different filing from your Companies House accounts.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. That period normally begins on the date of incorporation and runs to the company’s first accounting reference date, although the exact period and the deadline for filing depend on the incorporation date, the accounting reference date and the applicable Companies House requirements. Directors of a newly formed company in Armagh should not assume the rules are identical to those that apply in later years, because Companies House treats a company’s first accounts differently from subsequent ones. These accounts are not optional simply because the company is new. A limited company generally has to prepare statutory accounts for its accounting period and deliver them to Companies House where required, even if trading has been limited or has not yet started. Where there have been no significant accounting transactions, the company’s reporting position depends on its circumstances and the applicable rules rather than automatically being treated as dormant. Some companies are eligible to prepare accounts under the micro-entity framework, using FRS 105, the financial reporting standard applicable to qualifying entities. Eligibility depends on meeting the relevant criteria for the accounting period, so it should be assessed for your company rather than assumed. Small-company reporting may also be available where the applicable thresholds are met. It is important to separate first year statutory accounts from other obligations. Statutory accounts go to Companies House, while a Corporation Tax Return such as a CT600 is submitted to HMRC, and the company’s first Corporation Tax accounting period may not be identical to its statutory accounts period. A confirmation statement is another separate filing that keeps the public register up to date. Preparing one does not complete the others.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

They are the first set of statutory accounts your company prepares for its initial accounting period, which usually starts on the date of incorporation and ends on the first accounting reference date. They generally include a balance sheet and, where applicable, a profit and loss account, along with any notes required by the framework the company reports under. For a company registered in Armagh, the same statutory principles apply as anywhere else in the UK.

There is no single answer that fits every company. The filing deadline is worked out from the company's incorporation date and accounting reference date, and Companies House applies different rules to a first set of accounts than it does to later ones. Rather than relying on a general rule of thumb, check your company's own filing dates on the Companies House register, or speak to us and we will help you identify the relevant period and deadline for your company.

It depends on what the company has actually done since incorporation. Typically that means bank statements and transactions, sales or income records, purchase invoices and business expenses, details of any assets bought, director transactions and loans, share capital information, and payroll or VAT records where those apply. If activity has been minimal, the records needed will be lighter — but we still need to see what exists so the accounts reflect the company's position accurately.

In most cases, yes — a limited company is generally required to prepare statutory accounts and deliver them to Companies House where required, regardless of how much trading has taken place. Filing accounts is not the same as Companies House approving them; the register simply receives the filing. If your company has had little or no activity, it is still worth confirming your reporting position rather than assuming nothing needs to be filed.

No. Statutory accounts are prepared for the company's members and delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. The figures in your accounts often feed into the tax computation, but the two filings have different purposes, different destinations and potentially different periods. Completing one does not automatically complete the other.

Some newly incorporated companies do qualify for the micro-entity framework and can prepare accounts under FRS 105, but it is not automatic. Eligibility depends on meeting the applicable criteria for the relevant accounting period, so being recently formed or having low activity does not by itself decide the matter. We assess this as part of preparing your first year accounts rather than assuming a particular framework.

No, they are separate requirements. A confirmation statement keeps your company information on the Companies House register up to date, while first-year accounts report on the company's financial position for its accounting period. Filing one does not satisfy the other, and a company may need to deal with both in the same period.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, and the outcome is not identical in every case. Paying any penalty does not remove the requirement to file the outstanding accounts. If an appeal is being considered, eligibility depends on the circumstances and the applicable rules. Directors in Armagh who think a deadline may have been missed should get advice quickly rather than waiting.
