A confirmation statement, also known as the CS01, is a filing made to Companies House that confirms the information held on the public register about your company is accurate and up to date. It covers matters such as your registered office address, directors, shareholders, share capital and people with significant control. It is not a financial filing — you do not report profit, turnover or tax on it, and it does not replace your annual accounts or your Corporation Tax Return.
Most UK companies need to file one, including companies limited by shares, companies limited by guarantee, and typically limited liability partnerships. The requirement applies whether the company is actively trading, dormant or not currently trading. If you are unsure whether your particular entity needs to file, it is worth checking its position with Companies House or with an accountant, because the answer can depend on the company's structure and circumstances.
A company generally needs to file a confirmation statement at least once every 12 months, even if nothing at all has changed during that time. That 12-month window is known as the review period, and the confirmation statement is normally due shortly after the review period ends. The review period is not the same as your accounting period or your annual accounts deadline, so it is important not to treat these dates as interchangeable.
Yes. You can file more than one confirmation statement during a review period if your company information changes and you want the register brought up to date sooner rather than waiting. That said, some changes — such as certain director appointments or resignations, share allotments or a change of registered office — may need to be reported to Companies House separately rather than simply being noted on the confirmation statement. A good filing service will tell you which route applies to your change.
Before filing you should check the registered office address, the directors and company secretary (where appointed), the shareholders and statement of capital, your people with significant control details, and your SIC codes where relevant. You also confirm the company's lawful purpose. If any of those details have changed, they usually need to be updated so the register reflects reality — filing a confirmation statement without correcting outdated information simply confirms information that is wrong.
In most cases, yes. Dormant and non-trading companies are still registered at Companies House, and the confirmation statement is about confirming register information rather than reporting activity or profit. Even a company with no transactions, no income and no changes to report will usually still need to file one at least once every 12 months. Dormancy affects what you report elsewhere, not normally whether a confirmation statement is due.
They are three separate filings with three separate purposes. A confirmation statement goes to Companies House and confirms that the register information about your company is correct. Annual accounts are statutory financial statements, also filed at Companies House, that show your company's financial position and results. A Corporation Tax Return (CT600) goes to HMRC and deals with the company's taxable profit and tax position. Filing one does not fulfil the others, and each has its own deadline, so they should be tracked separately — VAT Returns, where registered, are separate again.
Filing a confirmation statement is a legal requirement, so letting it fall overdue is not a neutral position. Companies House can take action against a company that fails to file, which can ultimately include steps to strike the company off the register, and in serious cases the company and its officers can face prosecution. An overdue confirmation statement can also hold up other filings and create problems if you later need to make changes to the register. If you think you have missed one, it is best to deal with it promptly rather than ignore it.
