Filing a confirmation statement involves checking the information Companies House already holds and confirming it is correct. If something has changed, the confirmation statement confirms the position but certain changes may need to be reported to Companies House separately, such as appointments or resignations of directors, changes to share capital, or a change of registered office. Yes, in most cases. A dormant company is not trading and has no significant accounting transactions, but dormancy generally does not remove the requirement to file a confirmation statement. The confirmation statement is about the accuracy of your company record, which exists whether or not the company is active. Dormant companies also normally still have other separate obligations, such as filing accounts, so it is important not to treat the confirmation statement and annual accounts as the same thing.
They are two completely different filings. A confirmation statement confirms that the information Companies House holds about your company is accurate and up to date — it is a check on your public record. Annual accounts, sometimes called statutory accounts, report your company's financial position and performance for an accounting period and are prepared in a defined format. The confirmation statement says nothing about your profit or losses, and the accounts say nothing about whether your director or shareholder details are correct. Both are separate obligations with their own deadlines.
A Corporation Tax Return, often called a CT600, is a tax filing made to HMRC that reports your company's taxable profits and calculates the Corporation Tax due. A confirmation statement is a Companies House filing that confirms your company information is up to date. They go to different organisations, cover different information and have their own separate deadlines. Filing a confirmation statement does not satisfy your Corporation Tax obligations, and filing a CT600 does not satisfy your confirmation statement requirement.
A confirmation statement is a legal filing requirement, so allowing it to fall overdue is not something to ignore. Companies House can take action against a company that fails to file, and in serious or prolonged cases a company can be struck off the register. Being removed from the register can cause real problems, including assets passing to the Crown and difficulties reopening the company.
