A confirmation statement is a filing made to Companies House that confirms the information held about your company is accurate and up to date. That includes active companies, dormant companies and companies that are not currently trading. A UK company generally needs to file a confirmation statement at least once every 12 months, even if it is dormant or not trading. That 12-month cycle runs separately from your accounting period and from your annual accounts deadline, so it is easy to treat the two as one thing when they are not. You can also file more than one confirmation statement within a review period if your company information changes and you want to bring the record up to date sooner.
The confirmation statement confirms that the details Companies House holds are correct. That commonly covers the registered office address, directors and secretary details, shareholders and statement of capital, people with significant control, and the SIC codes describing what the company does. Some changes cannot simply be confirmed on the statement — certain changes to company information need to be reported to Companies House separately, and often promptly, rather than being left until the next confirmation statement.
Yes, in most cases. Being dormant means the company has had no significant accounting transactions, but it does not normally remove the obligation to keep the Companies House record accurate. A dormant company can still have directors, shareholders and a registered office on the public register, and the confirmation statement is how that information is confirmed as still correct. Dormant companies may have different rules for annual accounts, but that is a separate filing.
These are three separate filings with different purposes. A confirmation statement confirms that Companies House holds accurate information about your company. Annual (statutory) accounts are the financial statements filed for the company's accounting period. A Corporation Tax Return, or CT600, is submitted to HMRC to report the company's taxable profit and calculate Corporation Tax. Filing a confirmation statement does not satisfy your accounts or tax obligations, and completing your accounts or CT600 does not replace the confirmation statement.
Filing the confirmation statement is a legal requirement, so leaving it unfiled is a breach of that obligation and Companies House may take action as a result. The exact consequences depend on the circumstances and how long the position is left unresolved. The practical response is to check the status on the public register and put the filing in hand as soon as possible, rather than waiting for the situation to develop further.
