A confirmation statement is a filing made to Companies House that confirms the information held on the public register about your company is accurate and up to date. Most UK companies registered at Companies House are expected to file a confirmation statement, including companies based in St Asaph and the surrounding area. The confirmation statement is a distinct requirement from all of those.
A confirmation statement confirms that the information Companies House holds about your company is accurate and up to date. Annual accounts, by contrast, report your company's financial position and performance for an accounting period. They are two separate filings with separate deadlines and separate purposes. Filing a confirmation statement does not satisfy your accounts obligation, and filing accounts does not satisfy your confirmation statement obligation.
A confirmation statement is filed with Companies House and confirms your company record. A Corporation Tax Return, often referred to as a CT600, is filed with HMRC and reports your company's taxable profits and calculates the Corporation Tax due. They are submitted to different bodies, cover different information, and follow different deadlines. Completing one does not replace the other, and filing a confirmation statement should never be treated as a substitute for dealing with your tax affairs.
If a confirmation statement is not filed when it is due, the company falls behind on its Companies House obligations, and Companies House may take action — which can ultimately include steps to strike the company off the register. Directors also have a responsibility to keep the register accurate and up to date.
