A confirmation statement is a filing made to Companies House that confirms the information held about your company on the public register is accurate and up to date. It is often referred to as a CS01, after the form used to submit it. It is not a financial document — you are confirming facts such as your registered office address, directors, shareholders and people with significant control rather than reporting profits, losses or tax.
Any company registered at Companies House in Northwood — and anywhere else in the UK — will normally need to file a confirmation statement, whether it is actively trading, dormant or not trading at all. Limited liability partnerships and certain other entities have comparable obligations. The requirement is tied to your company's own review period, so it applies even when there has been no change to report.
Most companies need to file at least once every 12 months. Yes. Being dormant or not trading does not normally remove the requirement to file a confirmation statement. A dormant company may only need to confirm that the register information is unchanged, but the statement itself is still due. Dormancy has more to do with what you do about annual accounts and tax, which are separate filings from the Companies House confirmation statement.
No, they are two different filings. Annual accounts are the company's financial statements — balance sheet, profit and loss account and notes — filed at Companies House for a specific accounting period. A confirmation statement contains no figures and simply confirms that the register information is accurate. Each has its own deadline driven by different dates, and completing one does not satisfy the requirement for the other.
A Corporation Tax Return, usually submitted as a CT600, goes to HMRC and works out how much corporation tax the company owes for its accounting period. A confirmation statement goes to Companies House and includes no tax calculation whatsoever. A company can therefore have both obligations running at the same time, alongside VAT returns or other filings where they apply, and none of these replace the others.
Missing the deadline is treated as a compliance failure, and Companies House can take action against the company — and in some circumstances its officers — including steps towards striking the company off the register.
