It is a separate filing from your annual accounts and from any Corporation Tax Return, and it does not involve reporting profit or tax.

Generally, any company registered at Companies House needs to file a confirmation statement at least once every 12 months, even if it is dormant or not trading. A limited company remains on the register until it is formally dissolved, and the filing duty follows from that registration rather than from business activity. If you are unsure whether your company needs to file, or whether a special situation applies, it is worth checking your obligations based on your own circumstances.

In most cases a company must file a confirmation statement at least once every 12 months, based on its own review period. You can file more than one confirmation statement within that 12-month period if information has changed and you want the register updated sooner. The confirmation statement deadline is separate from your accounting period and separate from your annual accounts deadline, so it is worth tracking them independently.

Yes, in most cases a dormant company still needs to file a confirmation statement. Being dormant refers to not carrying on business or receiving income during the period; it does not normally remove the obligation to confirm that the register details are correct. Dormant companies may have different accounting requirements, but the confirmation statement is a separate filing and should be considered on its own.

A confirmation statement confirms the facts Companies House holds about your company and its officers, shareholders and PSCs. Annual accounts are the financial statements for a period, showing the company's position and performance and filed under the accounts filing requirements. They are separate documents with separate deadlines, and filing one does not satisfy the other — you generally need to deal with both.

A confirmation statement goes to Companies House and deals with company information. A Corporation Tax Return (CT600) goes to HMRC and deals with how much corporation tax the company owes. They are filed with different bodies, cover different things, and have different deadlines. Making a confirmation statement submission does not sort out your Corporation Tax Return, and vice versa.

If a confirmation statement is not filed when it is due, the company is generally in default and Companies House can take action, which may include financial penalties and, in serious or repeated cases, steps towards striking the company off the register.
