Being dormant usually means there is little or no accounting activity, but it does not normally remove the obligation to confirm the company's details are correct. If you are unsure how this applies to your circumstances, it is worth checking your company's record and its filing history.
Generally, a confirmation statement must be filed at least once every 12 months, even if the company is dormant or not trading. Companies House works to a review period rather than a financial year, and one confirmation statement is expected during each review period. If your company's details change, you can choose to file more than one confirmation statement during the same review period instead of waiting for the next one to fall due. Always check the due date shown on your company's Companies House record, as that is specific to your company.
The confirmation statement is your opportunity to confirm that the register is correct. In practice, that means checking the registered office address, the directors and company secretary (where one is appointed), shareholders and share capital, people with significant control, and the company's nature of business and SIC codes. Some changes, such as a new director, a resignation, a change of registered office, an allotment of shares or a change to PSC details, need to be reported to Companies House separately, usually at the time the change happens, rather than waiting for the confirmation statement. The confirmation statement then confirms those details are up to date.
No, they are two entirely separate filings with different purposes. Annual accounts report your company's financial position and performance for an accounting period and are prepared to an accounts deadline based on your accounting reference date. A confirmation statement does not contain any financial figures — it simply confirms that the information Companies House holds about the company is accurate. Filing one does not satisfy the requirement to file the other, and each has its own deadline.
A Corporation Tax Return (CT600) is submitted to HMRC and deals with tax: it reports your company's profits and calculates the Corporation Tax due. A confirmation statement goes to Companies House and deals with company information, not tax. VAT Returns are separate again and are also submitted to HMRC. You may therefore have several different filings to manage in the same period, each with its own purpose and its own deadline.
If a confirmation statement is not filed, the company's record at Companies House will show the confirmation statement as overdue, which can be picked up by banks, lenders and anyone carrying out checks on the company. Failing to file is a breach of the company's filing obligations, and Companies House can take further action against the company and its officers if the position is not put right. If a filing has been missed, the sensible step is to deal with it promptly and to update any out-of-date information at the same time, so the register is correct going forward.
