As a general rule, UK companies registered at Companies House need to file a confirmation statement, whether they are trading actively, trading occasionally, dormant or not trading at all. The obligation attaches to the company itself rather than to its level of activity. Because there are limited circumstances in which the position can differ, and because the rules depend on your specific company structure, it is sensible to check your own position if you are unsure — we are happy to look at your Companies House record and confirm what applies to you.

Most companies need to file a confirmation statement at least once every 12 months, even if absolutely nothing has changed. Companies House works to a review period, which is linked to the anniversary of the company's incorporation or of its last statement, and it is a different date from your accounting period and your annual accounts deadline. Yes, in most cases. Being dormant or not trading does not normally remove the requirement to file a confirmation statement. A dormant company still exists on the register, still has a registered office, directors and shareholders, and Companies House still needs confirmation that those details are correct. Dormancy is much more relevant to your accounts and to your tax position than it is to the confirmation statement, which is why the two should not be confused.

These are three distinct filings with different purposes. The confirmation statement confirms the company's details at Companies House. Annual (statutory) accounts report the company's financial position and performance and go to Companies House and, in many cases, to HMRC. A Corporation Tax Return (CT600) is a tax filing submitted to HMRC that calculates the company's Corporation Tax liability. Filing a confirmation statement does not satisfy your accounts or tax obligations, and filing accounts or a tax return does not satisfy your confirmation statement obligation.

Failing to file a confirmation statement is a breach of company law, and Companies House can take action against the company and its directors. In serious or prolonged cases, Companies House can begin the process of striking the company off the register, and directors can face consequences for continued non-filing. Because the outcome depends on individual circumstances, the practical answer is straightforward: if you think a statement may be overdue, deal with it as soon as possible rather than waiting for further notices.
