They provide information about the company's financial position and performance for the relevant accounting period and are prepared according to the accounting framework applicable to the company. Depending on the company's size and circumstances, they may include a balance sheet, profit and loss account, notes and other required statements, and they are filed with Companies House where a filing requirement applies.
Most UK limited companies have annual accounts filing responsibilities with Companies House, although the exact requirements depend on the company's circumstances, size and any exemptions that apply. Micro-entities, dormant companies, one-director companies and other eligible small limited companies may all need to file, but they do not necessarily file the same type or level of detail. It is worth confirming what applies to your company before the deadline.
The deadline depends on the company's accounting reference period and its individual circumstances, so there is no single date that applies to every company. Private companies generally have a Companies House filing deadline based on their accounting reference period, and the exact date should be checked for the specific company. Directors remain responsible for ensuring the accounts are filed on time, even when an accountant or filing service prepares and submits them.
No. Annual accounts are statutory accounts filed with Companies House, while a CT600 is a Company Tax Return submitted to HMRC. They are separate obligations with separate deadlines and separate purposes. Information from the accounts may be used when preparing the company's Corporation Tax computation and CT600, but filing annual accounts with Companies House does not itself constitute filing a Corporation Tax Return with HMRC.

A confirmation statement confirms company details such as officers, the registered office and share information, whereas annual accounts report the company's financial position and performance for the accounting period. Both may be required for a company, but meeting one obligation does not satisfy the other, so each should be tracked separately.
Dormant companies can still have annual accounts filing responsibilities with Companies House. Being dormant for Corporation Tax purposes does not automatically mean the company is exempt from filing annual accounts with Companies House, and the position can depend on the company's circumstances and any applicable exemptions. Directors should check what is required rather than assume no filing is needed.
Micro-entities may qualify for the micro-entities regime and may prepare accounts using FRS 105 where the regime is applicable and chosen. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least two of the three relevant size conditions to qualify: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average number of employees of no more than 10, subject to applicable rules and exclusions. Meeting the figures alone does not automatically confirm eligibility.
Companies House can impose late filing penalties when accounts are filed after the relevant deadline. These penalties relate to the Companies House annual accounts filing, not to HMRC Corporation Tax Returns, which have their own separate deadlines and consequences. Because deadlines vary by company, it is worth confirming your exact filing date and allowing time for preparation and review before it passes.
