Depending on the company's size and the accounting framework that applies, they may include a balance sheet, a profit and loss account, notes and other required statements or information. They are prepared under the applicable framework and filed with Companies House where filing is required.
Most UK registered limited companies have annual accounts filing responsibilities with Companies House, although the exact requirements depend on the company's circumstances. Size, accounting period, dormant status, the applicable accounting framework and any available exemptions can all affect what is prepared and what is filed. Annual Accounts Filing is a separate obligation from Corporation Tax Returns, Confirmation Statements, VAT Returns, payroll and general tax advice.
The deadline depends on the company's circumstances and its accounting period, so it is not the same for every company. Private companies generally have a Companies House filing deadline based on their accounting reference period, but the exact date should be checked for the individual company. Planning preparation well before the deadline makes the process far calmer than working to the last minute.
No. Annual Accounts Filing with Companies House and submitting a Company Tax Return (CT600) to HMRC are separate obligations with separate deadlines. Information from the accounts is often used when preparing the company's Corporation Tax computation and CT600, but filing annual accounts with Companies House does not itself constitute filing a Corporation Tax Return with HMRC.

A confirmation statement confirms that the information Companies House holds about the company — such as directors, the registered office and shareholders — is up to date, and it is usually filed each year. Annual accounts report the company's financial position and performance for the accounting period, so the two should not be confused or treated as interchangeable.
A dormant company may still have annual accounts filing responsibilities with Companies House. Being dormant for Corporation Tax purposes does not automatically mean the company is exempt from filing annual accounts, so it is worth confirming what applies. Many small companies, including micro-entities, may be able to prepare and file simpler accounts. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least two of three conditions to qualify as a micro-entity: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average number of employees of no more than 10 — subject to the applicable rules and exclusions. Where the micro-entities regime applies and is chosen, accounts may be prepared under FRS 105.
If annual accounts are filed with Companies House after the relevant deadline, Companies House can impose late filing penalties. The level of penalty depends on how late the accounts are and on the company's circumstances. These penalties relate to the Companies House annual accounts filing deadline and are separate from HMRC Corporation Tax filing or payment deadlines.
