They give a picture of the company's financial position and performance over that period and are prepared using the accounting framework that applies to the company, such as the micro-entities regime with FRS 105 where that regime is available and chosen. Depending on the company's size and circumstances, annual accounts may include a balance sheet, a profit and loss account, notes and other required statements or information. The precise content varies from company to company.

Annual Accounts Filing with Companies House is generally a responsibility for UK registered limited companies, including micro-entities, dormant companies, one-director companies and other eligible small companies. What differs is the level of detail filed and the exemptions that may apply. Company size, accounting period, dormant status and the applicable accounting framework can all affect the accounts that are prepared and what is placed on the public register. Directors remain responsible for making sure the accounts are properly prepared and filed, even when an accountant or filing service handles the submission.

The deadline depends on the company's circumstances and accounting period, so there is no single date that applies to every company. Private companies generally have a Companies House filing deadline calculated from the end of their accounting reference period, but first accounts and changes to the accounting reference date can affect this. The exact deadline should be checked for the individual company, and it is sensible to work back from that date when planning annual accounts preparation and submission rather than leaving it until the last moment.

No. Annual accounts filed with Companies House are separate from a Company Tax Return (CT600) submitted to HMRC. They serve different purposes, go to different bodies and follow different deadlines. Information from the accounts may be used when preparing the company's Corporation Tax computation and CT600, but filing annual accounts with Companies House does not itself constitute filing a Corporation Tax Return with HMRC. Companies need to keep both obligations in view and treat them as distinct parts of their compliance calendar.

No, these are two different filings. A confirmation statement confirms that the information Companies House holds about the company, such as directors and registered office details, is up to date. Annual accounts are the financial statements for the accounting period. Both may be required, they can have different deadlines, and one does not replace the other. Annual Accounts Filing should therefore be planned alongside, not instead of, the confirmation statement.

Dormant companies can still have annual accounts filing responsibilities with Companies House, and being dormant for Corporation Tax purposes does not automatically remove that obligation. Dormant accounts are usually shorter and less detailed than trading accounts, but they still need to be prepared appropriately and filed within the relevant period. If your company has been dormant, it is worth confirming exactly what is required rather than assuming no filing is due.

Micro-entities may qualify for the micro-entities regime and may prepare accounts using FRS 105 where that regime is applicable and chosen. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least two of three size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees, subject to the relevant rules and exclusions. Meeting the figures alone does not automatically confirm eligibility, so the position should be checked before simplified accounts are prepared.

Companies House can impose late filing penalties when accounts are filed after the relevant deadline, and these are separate from any HMRC Corporation Tax filing or payment deadlines your company may also have. Penalties vary according to how late the accounts are, and no outcome can be guaranteed in advance. The practical approach is to establish the correct deadline early, prepare the accounts in good time, and raise any difficulty with your accountant or filing service as soon as it becomes apparent.
